Job Description:
We are seeking a highly motivated and experienced professional to join our organization as an Equity Capital Markets Execution role within our Merchant Banking division. In this role, you will be responsible for managing the execution of Initial Public Offerings (IPOs) and other equity capital market transactions like Rights Issues, Open Offers, Buybacks, Delisting, etc. You will work closely with internal and external stakeholders to ensure the successful execution of these transactions, supporting our clients in accessing the public markets.
Responsibilities:
1. IPO Execution: Manage the execution process for Initial Public Offerings (IPO), Qualified Institutional Placement (QIP), Rights Issue and other fund raising / advisory services incl. pre-IPO and other equity capital market transactions, ensuring compliance with regulatory requirements and best practices.
2. Transaction Management: Coordinate and collaborate with various internal teams, including investment banking, legal, compliance, finance, and external service providers, to facilitate the smooth execution of IPOs and other equity transactions.
3. Due Diligence and Documentation: Oversee the due diligence process, working closely with legal and compliance teams to ensure the accuracy and completeness of offering documents, prospectuses, and other transaction-related materials and pre/post processes for IPOs/ QIPs / Rights Issue / Buybacks etc.
4. Investor Relations: Collaborate with investor relations teams to develop appropriate investor targeting strategies and support the roadshow process. Assist in managing relationships with institutional investors and analysts.
Liasoning with Regulatory Authorities, Stock Exchanges, Law Firms, etc.
5. Market Research and Analysis: Conduct thorough market research and analysis to identify potential investors, assess market conditions, and provide insights to support the pricing and marketing strategy for IPOs. Prepare pitch/credential book, financial model and conduct detailed valuation analysis (including DCF).
6. Regulatory Compliance: Ensure compliance with applicable securities regulations, SEBI exchange rules, and listing requirements throughout the IPO and equity capital market execution process. Coordinate with legal and compliance teams to address any regulatory issues.
7. Deal Execution Support: Provide operational support for deal execution, including coordinating with underwriters, legal counsel, auditors, and other external parties involved in the transaction. Monitor and track progress, ensuring timely completion of tasks.
8. Relationship Management: Build and maintain strong relationships with clients, working closely with senior management to understand their needs, provide strategic advice, and deliver high-quality service.
9. Continuous Process Improvement: Identify opportunities to enhance the efficiency and effectiveness of IPO and equity capital market execution processes. Propose and implement process improvements to streamline workflows and increase productivity.
Requirements:
- Bachelor's degree in finance, business, economics, or a related field. Advanced degree preferred.
- Extensive experience in equity capital markets execution, with a focus on IPOs and other equity transactions within the merchant banking sector.
- In-depth understanding of securities regulations, listing requirements, and exchange rules applicable to IPOs and equity capital market transactions.
- Strong knowledge of financial markets, investor relations, and market research techniques.
- Proven track record of successfully managing IPO execution processes, including due diligence, prospectus drafting, investor targeting, and pricing strategies.
- Excellent project management skills, with the ability to manage multiple transactions and meet tight deadlines.
- Exceptional analytical and problem-solving abilities, with a keen eye for detail.
- Strong communication and interpersonal skills, with the ability to effectively collaborate with internal and external stakeholders at all levels.
- Proficiency in financial modelling and valuation techniques will be preferred.
- Ability to work under pressure in a fast-paced, dynamic environment.
