Numadic is hiring a Legal Counsel We are hiring a Legal Counsel to join our team in undisrupting movement. About the role: 1. Deal with multiple functional teams in the organization and advise on legal risks, business strategies and other issues related to the Company's businesses. 2. Handle Intellectual Property Rights and end to end fundraising process independently (eg:term sheet issuance, cap table management, , investor updates etc). 3. To participate in negotiation, provide advice, manage and prepare documentation for ESOP issuance, restructuring (share buyback, capital reduction) mergers, strategic alliances, acquisitions, different types of financial instruments if any across borders. 4. Advise, undertake and be involved in general business law, and managing the legal issues of all areas of the company, including but not limited to corporate matters, procurement, safety, security and insurance. 5. To advise and work on intra company, internal governance, employment, and consultant related matters e.g. termination, severance, mutual separation, outsourcing arrangements, employment templates, contracts, addendums, policies and manuals. Including compliance with relevant laws and regulations in India and the UK. 6. Maintain a repository of all executed contracts and documents along with a sheet that comprises the key features and differences from the contracts and other documents. 7. Draft, participate, assist and liaise with corporate functional departments on key technical service fee agreements, professional consultancy/services agreements,MoU, LOI, Deeds, licensing and other assignments. 8. Dealing with third parties in matters of conflict and settlement as well as litigation in coordination with the external lawyers in India and UK. 9. Develop and maintain relationships with relevant external contacts and organizations. 10. Work in collaboration with the external lawyers and other parties, Identify work to be outsourced. 11. Any other ad-hoc activities communicated from time to time basis. Role requirements: 1. Education - Master of Laws or L.L.M with a company secretary certification from Institute of Company Secretaries of India. 2. 3+ years of experience in a top tier national law firm or multinational company 3. Strong experience in regulatory requirements, and other corporate and commercial matters in India and in the UK is critical. 4. Well versed with Banking, Information Technology, Data security and Privacy Laws and regulations of India and UK including intellectual property rights. 5. Good negotiation skills, people skills, well-ordered priorities and a positive approach to doing business. 6. Ability to deliver high-quality work under tight deadlines and constant eye for automation of work. 7. Planning skills, multitasker, quality consciousness and detail oriented. 8. Strong documentation, presentation and Administrative writing skills. 9. Bias for action - ability to move quickly while taking time out to review the details. 10. Clear communicator - Ability to synthesise and clearly articulate complex information, highlighting key takeaways and actionable insights. 11. Fluent in English, Hindi & at least one regional language. 12. Knowledge of fintech industry working would be ideal 13. Team player - Working mostly autonomously, yet being a team player keeping your crews looped-in. 14. Mindset - Ability to take responsibility for your life and that of your people and project. 15. Mindfulness - Ability to maintain practices that keep you grounded. This is not a typical 9 to 5 job. This is startup life.
