Your Location : Mumbai

Job Purpose :

Responsible for ensuring the efficient administration of theday-to-day functioning of the Secretarial Department of the Clearing Corporation, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented.

Key Accountabilities :

Tasks :

- To look into all aspects of formation of new companies that may be promoted by the Company

- Apply for and obtain registration of the new companies and complete all formalities

- Ensure that all relevant records are maintained as prescribed under the provisions of law

- Arrange for and file resolutions, reports and returns with the Registrar of Companies, Registrar of Stamps and other statutory and local authorities

- Develop systems for maintaining records and to ensuring that the same is maintained properly for easy retrieval when required

- Maintain proper indexing of Minutes of the Board and its committees as also of other committees of the Clearing Corporation

- Follow up on the suggestions of the Board and its committees and prepare report on action taken on such suggestions.

- Periodically prepare list of critical items for bringing to the attention of the senior management issues that are pending

- To be aware of the developments in the area of company law and other commercial laws

- To be able to understand and interpret provisions of law in the area of the work related to the Department

- To ensure that the company's corporate documents are in compliance with existing legislation and overall corporate strategy

- To draft, vet legal agreements and other process documents in keeping with the Clearing Corporation business objectives as well as Regulatory directives in place

- To handle all legal issues faced by the Clearing Corporation, either in court, in an arbitration setting or with other entities

- Drafting of Rule, Bye laws & Regulations and their respective amendments in line with policy changes or regulatory directives

- Attending to any criminal matter that may arise during the course of the Clearing Corporation operations

- To provide necessary support and information with respect to due diligence etc. from Third Party

- To manage stockholder relations and all related corporate documents

- To handle all HR related legal agreements and other claims and correspondence affecting policy and system.

- Vetting of documentation (manuals and SOPs) relating to new systems and processes being introduced in/by the Clearing Corporation

Educational Qualification :

University Degree in Law (Post Graduation Preferred) with Specialization in Commercial Laws

Company Secretary

Previous Experience : 8-12 years relevant work experience in capital markets, securities, financial services, mutual funds or insurance companies

Skills and Knowledge required :

- Self-motivated and able to work with large groups of persons working in the organization

- Ability to work under pressure prior to, during and after meetings

- Proactive and result oriented

- Analytical ability and an eye for detail

Competencies (Behavioural Skills) required :

- Good execution skills

- Strong communications skills

- To share learnings and develop/communicate best practice across various groups
