Vice President - Legal Roles & Responsibilities: - Ensure legal compliance of Medi Assist and certainty in regards to its key business operations. Maintain, manage and support in the development of the standards in force (legislative, regulator, internal, etc.) - Provide legal protection and risk management advice to the management especially on contract management and stakeholder/vendor management. - Support the business divisions on contractual matters including contract negotiations as per the Group Policy - Review progress of outstanding litigation and liaise with and manage external lawyers. - Review and advice Management on legal implications of internal policies and procedures and new compliances - Formulate compliance check-lists to be used for the purpose of ensuring that all critical compliances are tracked and followed - Increase business divisions awareness of Group best practices (in particular the Code of Ethics, POSH, Fundamentals of Internal Control and the Legal Charter) - Maintaining sustained contact with regulatory bodies for initiating and follow-ups on legal compliance procedures. - Manage negotiations and documentation in business restructuring transactions like mergers and acquisitions, Business Transfer, asset purchase etc. - Efficiently manage Key Relationships: such as - Internal- Business Leaders and Top management and to Board, if necessary - External- Auditors, Law Firms, Govt. Bodies, Labour Court etc Demonstrated abilities if any: - Develops and facilitate awareness and appropriate reflexes on legal issues in order to manage Laws and follow norms - Keeps continuously informed of relevant legal evolutions and changes and internal norms to provide Medi Assist with relevant advise - Ensures the right implementation of Law and regulations to secure the business - Takes part in the development of internal control initiatives, ensuring compliance of operations.
