The Role Summary:

The firm is looking for a dynamic Manager to join the Mergers and Acquisitions (M&A) Tax group at Mumbai. We advise multinational corporations, privately held companies, partnerships, and private equity firms on the tax aspects of planning, structuring, and executing M&A transactions. As a Tax Manager in this group, you will analyze proposed transactions for tax benefits and risks, advise clients on restructuring transactions, interpret complex tax rules relating to corporate and partnership transactions and, perform financial analysis to assess the tax consequences of specific transactions. You will be providing tax structuring and tax due diligence services and work closely with our clients and colleagues in Deal Advisory (transaction services, corporate finance, separation and integration).

JOB DESCRIPTION

Responsibilities:

- Lead engagement teams in the planning, execution, and delivery of designated M&A tax consulting projects, legal entity rationalization projects and group restructurings, and tax due diligence.

- Advise external and internal clients on the income tax consequences of the full spectrum of corporate and shareholder transactions including mergers, acquisitions, dispositions, formations, liquidations, distributions, redemptions, and reorganizations.

- Work as a part of a multi-disciplinary team that focuses on delivering due diligence and tax structuring services, and communicates findings and opportunities to clients

- Manage due diligence projects by leading client calls and interviewing targets and tax advisors

- Advise clients on a full spectrum of corporate tax services including planning, research, and other mergers and acquisitions activities

- Solve complex tax, accounting and business issues, with a focus on developing tax structures and providing tax due diligence services for buy-side and sell-side transactions

- Analyze target-company tax information to understand historical trends, quantify historic and future tax exposures, identify planning opportunities and participating in interviews with tax and accounting service providers and management

- Prepare efficient tax structures for mergers and other corporate reorganizations

- Tax impact modeling to quantify attribute availability, basis step-up, and structural impact on client and target tax profile

- Leverage technical knowledge and experience to provide effective project management and practice development, delivering timely and responsive services and products that meet or exceed client expectations

- Assist with proposals and business development, including development of marketing materials

- Write and co-author technical articles for publication

- Develop and participate in public speaking opportunities at tax conferences and events

- Occasional domestic travel to visit clients and attend firm events

- Team-up with M&A Tax leadership on effective execution of - go-to-market' strategy to achieve quality growth goals.

- Manage a portfolio of clients of varying size and scope, and act as the first point of contact for internal and external clients.

Qualifications:

- A minimum of five years of experience in tax and/or mergers and acquisition in a CA firm, corporate tax department, or law firm

- Successful track record of new business origination within M&A projects through both internal and external activities

- Good corporate tax knowledge and an awareness of other tax and accounting areas

- High level analytical skills with a practical and commercial approach to resolving issues and providing advice

- Bachelors in accounting or equivalent required; CA, Master s degree in Taxation or JD with LLM in taxation preferred

- Experience must include significant tax due diligence and merger and acquisitions tax consulting

- Significant experience working with private equity and strategic buyers and sellers

- Possess the ability to analyze complex business and transactional situations

- Experience supervising and training staff

- Strong project management and organizational skills

- Excellent interpersonal, verbal and written communication skills

- Ability to work effectively both as part of a team and independently

- Ability to handle multiple priorities, tasks and simultaneous projects
