Manager/Senior Manager - CS & Legal - Automotive 

Looking to hire Manager/ Senior Manager CS & Legal for Leading Automotive Company @ Delhi/ NCR. Must have experience into company secretary & legal. 

Experience : 7 Yrs - 15 Yrs. 

Qualification - CS & LLB.

Company Law (Secretarial) Compliance : 

- Overall Corporate Secretarial (Company Law) compliance

- Meetings of Board, Shareholders, Committees, etc.

- Maintenance of Statutory Registers, Returns, etc.

- Annual Filing and other ROC / MCA e-Filings, etc.

- Annual Report - Annual Return - Preparation

- Secretarial Data to Statutory, Cost & Internal Auditors

- Event based Compliances

- Maintenance of Statutory Registers & Minutes for all group companies

- Compliance with Companies Act provisions

- Conducting Board Meeting, General Meeting, Committee meeting

- Compliance with Shareholder's Agreement provisions

- Quarterly Compliance of Debenture holders.

- Handled Bonus issue

- Handled Right Issue

Legal : 

- Drafting, vetting and review of various Agreements and Legal Documents including Non - Disclosure Agreements, Power of Attorney, Memorandum of Understanding, Indemnity Bond, Leave and License Agreements, Contract Labour Agreement/ amendments etc.

- Vetting and review of Commercial Contracts/ Agreements, Tender Documents, Service Agreements etc.

- Assist in compliance of all Labour, Industrial and other Laws applicable to the Company

- Handling of all Legal Cases on behalf of the Company

- Handling of all Legal Issues and providing solutions, opinions in respect thereof

- Interpretation of various legal provisions and preparing notes, presentation, opinions, etc. There on for Management decision.
