Mgr./Sr. Mgr.- Corporate Finance - CS - Listed company - Infrastructure

We are hiring for Manager - Corporate Finance (Company Secretary) for infrastructure client with PAN India footprint at Gurgaon..

Ideal candidate will be a qualified CS with extensive experience with Listed companies with strong hands on knowledge of fEMA and SEBI regulations.

Job Details :

Location : Gurgaon

Nature of Role : IC Role

Experience : 6-9 years with a Listed Company

Education : Qualified Company Secretary (Must) & Law-degree (Preferred)

Must have : Drafting & good communication skills Experience with listed Company Strong FEMA knowledge

KRA :

1) Compliance under the Companies Act and Secretarial Standards

2) Compliance under SEBI Act, Listing Regulations and other SEBI rules and regulations

3) End to end compliance with Insider Trading Regulations

4) Compliance with Takeover and ESOP Regulations

5) Hands on experience in FEMA Compliances including filing of annual forms and other documents

6) Fund raising exercise like commercial papers, NCDs etc.

7) Analysis of various amendments/ circulars and its implication on the Company

8) Preparing Notice and Agenda of Board and Committee meetings

9) Convening of Board and General Meetings

10) Drafting and preparation of Annual Report

11) Issuing securities under Companies Act and ICDR

12) ROC related compliances

13) Liaisoning with Stock Exchanges and other regulatory authorities, vendors/ service provider

14) Proactively updation, maintenance and implementation of organizational policies in line applicable law, regulations and amendments
