Position Summary: The objective of this role is to support the Legal and Secretarial Department reporting in to the Head of Legal and Secretarial. Based in Gurugram, India, the role of the Manager-Secretarial & Legal, India, will be to support in corporate secretarial matters along with legal and contractual matters. PRINCIPAL RESPONSIBILITIES : The indicative but not exhaustive, job content and the principle responsibilities are given below. SECRETARIAL : - Responsible for organization and preparation for Board/Committee Meetings including the preparation of notice, agenda and minutes thereof. - Responsible for organization and preparation for Annual General Meeting/Extra-ordinary General Meeting including the preparation of notice, agenda and minutes thereof. - Ensure legal and secretarial compliances, proper maintenance and updation of secretarial and other records, statutory filings etc. under Companies Act, 2013 and other applicable laws. - Handling correspondence before and after meetings - To assist in implementation of good secretarial and corporate governance practices. - To ensure compliances of the Companies Act and other corporate laws. - To handle Dividend payments to shareholders. - Maintaining, preparing and filing necessary documents, registers, reports and returns as required under the Companies Act and various other statutory acts, rules and regulations. Ensure timely filings and reporting to MCA, ROC, RBI and other regulatory bodies. - Preserving and maintaining of all statutory records/ forms / documents and other relevant papers as required under Companies Act. - Handling FEMA Compliances. - Perform all incidental and ancillary functions to effect corporate law compliances. - Understand the Company's operations, identify and interpret applicable laws and effect statutory compliance. To ensure registrations under different statutory acts and compliances as required. - Providing all required information to the statutory auditors/finance and other departments. - Keeping abreast with latest amendments to corporate and other laws. Analyze, interpret and evaluate the various corporate law requirements. - Proper maintenance of statutory books and registers of the company as required under the provisions of the Companies Law. - Records Management. - To ensure Secretarial Audit is conducted. LEGAL : - To draft, review and negotiate legal contracts/agreements/documents to make sure that it is in organization's interest. - To provide legal advice and guidance on all kinds of legal matters. - Release of legal advisory, regulatory updates and legal articles. - Pro-active, practical, qualitative and cost-effective legal support and guidance to different business functions. - Working on Contract Management System for maintaining legal contracts of the Company and extracting reports. - Conducting Legal sessions with other business functions. - Managing and supervising of Litigation and Arbitration cases. - To deal with external law firms and other consultants. - Assistance in implementation of Regulatory Compliance framework. - To ensure compliances with Department of Telecom requirements including OSP filings and other applicable regulations. - Identification and due compliance with local laws and regulations and assist in auditing the compliances to laws and regulatory requirements.
