Job Description :

Position Description : Legal & Compliance Manager

Division : Legal & Compliance

Primary report to : Head Finance

Secondary report to :

1. Profile of Individual :

a) More than 7 years experience in external reputable legal firm in India.

b) Experienced in drafting and negotiating legal documents including (but not limited to) Sale & Purchase agreements, Non-Disclosure agreements, Shareholders agreements, Service agreements.

c) Involved in advisory work on corporate legal matters, telecommunication sectors, insurance sectors.

d) Able to deal with corporate secretarial matters.

e) Experienced in legal due diligence, corporate secretarial matters, HR matters and consumer tribunals.

f) Have good communication skill.

2. Required Skills :

a) Prepare, review, complete and execute :

- Legal documents (agreements, letters, etc.)

- Corporate secretarial documents (minutes, BOD resolutions, filing returns with relevant authorities, etc.).

b) Manage signing of documents with relevant stakeholders.

c) Guiding and supporting the respective Legal teams in the Group.

d) Presenting to senior management.

e) Relevant computer literacy to support all of the above.

f) Good communication skill.

3. Required Qualifications :

a) Degree or professional qualification in law.

b) Licensed to practice law.

4. Objective :

a) Provide legal and compliance support to the company.

b) Tracking the company compliance to the local laws.

c) Support the company on legal and compliance matters pertaining to new markets, products or any business activities to the company.

5. Key Responsibilities :

a) Prepare, review, complete and execute :

- Legal documents (agreements, letters, etc.).

- Corporate secretarial documents (minutes, BOD resolutions, filing returns with relevant authorities, etc.).

b) Manage signing of documents with relevant stakeholders.

c) Guiding and supporting the respective company in dealing with legal matters.

d) Liaise with Group Legal & Compliance teams (internal and external) on matters pertaining to the respective company.

e) Prepare reporting both for internal purpose or compliance purpose.

f) Dealing with licensing issues as relevant.

g) Providing legal advice to any legal issues as necessary.

6. Meetings & Communication :

a) Daily Huddle with Finance Team.

7. Reports :

a) Weekly status reporting to Head Finance / Group CFO/Group Legal & Compliance Manager and respective Country Heads.

- List of all outstanding legal & compliance matters.

- Turnaround time of closing legal & compliance matters.

b) Monthly update of the Risk Registers for the Group Legal & Compliance Manager.

8. Communication Protocol :

a) Communicate any relevant issues or updates directly to your primary report

b) If unsure of whether an issue warrants reporting, communicate anyway.

c) Communicate all urgent issues verbally first, via whatsapp and followed up by an email if necessary.

d) Do not send email only to any team member on any urgent issues. Encouraged to send reminder for urgent email through communication media provided including but not limited to Skype and Whatsapp.
