Manager - Legal (5-8 yrs)

Legal Manager

Contract Management :

i. Review and drafting of agreements related with Domestic vendors, NDAs, bank guarantees, tender documents, procurement agreement as may be instructed, lease deed, indemnity deeds, power of attorney, declarations, undertakings etc.

ii. Manage and maintain legal documents, agreement drive in hard and soft copies

iii. Manage legal admin work related with Stamp duty payments, affirmation/ notary etc., impress fund management, reimbursement processing

iv. Draft and vet all Tender documents contracts and agreements within stipulated timelines

v. Ensure standardization of contracts and legal documentation across lines of business and all functions through centralized templates, also check and ensure the authorisation as per DOA is followed by the internal teams

vi. Promptly respond to the queries and document pertaining to other departments, Marketing and advertising material, Business team etc.

Litigation :

i. Manage/ appear for legal cases including Arbitration, labour court matters, other civil or criminal matters

ii. Coordinate with Advocates to handle legal matters including IPR, IBC, arbitration etc.

iii. Preparing status reports of litigation cost/budget as per requirements of the Company and legal departments,

iv. Assist in Appointment of and Dealing with external counsels, briefing counsels, assist on risk / reward per litigation matter

v. Promptly initiate Dispute resolution process, drafting of notices/ replies and assist in resolution/ management of the legal issues, conciliation, mediation, out of court settlements

vi. Legal advice, research and manage external legal service providers, consultants and follow up and timely reporting on the status of assignment related with stakeholders.

vii. implement legal processes and systems, interpret applicable laws, rulings / judgements and provide guidance/ advise

viii. handling queries from legal authorities, stakeholders

IPR Management, legal research

i. Matters related with IPR laws and collect necessary updates from attorney for opposition matters, IPR cases, prepare and maintain MIS on regular basis, keep track of IPR matters

ii. Handle payments of consultants, lawyers etc. and processing of invoices, assist in maintain MIS of invoices, following the SOP of procurement department

iii. Coordinate with team, take requisite approvals on time, prepare approval notes and get them implemented

iv. Work on the IPR documents repository and maintain the common drive as instructed and guided by the HOD

v. work on the compliance related document/ legal opinion etc.

vi. work on the implementation of Labour Code and other relevant legal compliances

vii. Support HOD in implementing company's policies wherever required

Miscellaneous :

i. Support Inhouse investigation, ethics, code of conduct related work.

ii. Any other work related with day to day working of the Legal and Secretarial Department as per the timelines.

iii. Drafting of agreements, Negotiation of contracts, indemnity, undertakings, reviewing tender documents

iv. Experience in handling IBC matters, consumer matters, criminal, civil and other court cases and arbitration proceedings

v. Drafting of notices, replies etc., petitions, written statement, other court documents

vi. Proficient in using on-line legal tools/ search engine or software-
