Manager - CS & Legal - Eye Care Industry (2-5 yrs)
We are hiring one of our Hospitality clients in Gurgaon location-eye Care Industry.

Job Role:
(A) Strategic
- Conceptualize and devise the Legal and Secretarial Department- with the support of the Finance Controller of the company.
- Initiate and formulate documents, reports, control systems and procedures relating to Legal and Secretarial department.
- Act as an adviser for all corporate legal matters.
(B) Operational
1. Contracts /Agreements :
- Structuring, reviewing, drafting and execution of contracts at corporate and unit level.-
- Various agreements:- MOU, Service Agreements, Facilities Sharing/Revenue Sharing Agreements, Bank Guarantee, Performance Bank Guarantee, All Marketing Agreements, Non-Disclosure Agreements, Rent Agreements, Lease deeds, POA, and various other Agreements / Contracts, deeds, declarations, bonds and other documents.-
- Managing external counsel & providing general legal advice and responding to internal queries.
2. Compliance :
Monitor and manage all legal and compliance related matters and ensure timely implementation of corporate governance practices.
3. Litigation :
- Represents the company- before law enforcement agencies and coordinates litigation activities with external partners/ agencies-
- Advise on Corporate Laws and Compliance of legal and procedural aspects.
- Provide direction in handling litigation and arbitration on behalf of the enterprise
- Lead legal activities which provide support during strategic ventures for the enterprise
- Legal notices:- Drafting of replies to legal notices from State level/Central level statutory authorities.-
- Solicitor Interaction: Continuous interface/discussions with the solicitors of the- Company- on legal issues/litigation including for medico-legal/medical negligence cases.
- To appear before Courts, Tribunals, Forums and Regulatory authorities for resolving Critical issues.
Candidate Profile :
- Able to handle hospital-level compliance like fire NOC, S&E, Waste management certification etc.
- Promotion, formation, and incorporation of- companies- and matters related therewith
- Filing, registering any document including forms, returns, and applications by and on behalf of the- company- as an authorized representative
- Maintenance of secretarial records, statutory books, and registers
- All work relating to shares and their transfer and transmission
- Preparation of agenda & handling all preparatory work for the Board meetings, conducting the meetings; Drafting, vetting & finalization of the Minutes-
- Annual Reports: Drafting, vetting, finalization & printing thereof,-
- Maintenance of Statutory Registers and secretarial records under the- Companies- Act, filing of statutory forms with ROC, MCA, RBI etc., handling RBI compliance & filings; Digital signature, e-filing etc.-
- Registration of Charges: Execution of loan documents, Registration of charges; inspection of documents at the ROC, etc
- Liaison with the various Banks, Government departments, Stock Exchange, ROC
- Provides corporate support to the Board & the Management.
