Education

CS; LLB (5 year preferred)

Relevant Experience

6 to 10 years

Annual General Meetings, Board meetings, Memorandum and articles of association compliance


- Conducting Board, General, other Committee Meetings

- Drafting Agenda, Notices, Minutes, Director's Report, Annual Report and other necessary documents

- Compliance as per the Memorandum and Articles of the Company and setting parameters

- Related Compliances

Companies Act Compliance

- Preparation and collating data from various departments for the Annual Report and checking its correctness using various parameters

- Updating all Statutory records and its safekeeping

- Filing forms with the ROC and other Authorities

- Research and analysis of various provisions and providing inputs

- Issue and Transfer of shares

- Handling cases with Regional Director and National Company Law Tribunal

- Highlighting Statutory Amendments and informing the relevant departments

- Knowledge of preparation of Foreign Documentation and its process for validation in India

Agreements/ Contracts/ Drafts

- Provide quality, responsive and commercial legal advice in order to secure and protect the rights and interests of the organization as well as mitigate future risks

- Drafting, vetting, reviewing, negotiating and finalizing various types of Legal documents.

- Provides expertise on legal implications of various contracts, agreements and Court cases

- Provides legal vetting on documents referred by various stakeholders before execution

Legal Matters -

- Attends PAN India disputes and litigations for Consumer, Arbitration, Civil and Criminal matters - drafting notices, answering show cause notices, drafting of Plaints/Complaints/Suits/WS/Affidavits etc. and validating them.

- Well versed with Consumer Laws

- Performs legal work related to Patents, Trademarks and other IPRs

- Keeps note of all new legislations being formulated by the government and amendment to the existing legislations. Evaluates impact of new legislations and suggests amendments on the company policies and its operations

- Respond to all external legal notices and queries raised by the functions

- Preparation and maintenance of legal MIS

- Analysis of the data and facts to help the Management in making the decision for Legal Suits

- Custodian of all Legal documents

Foreign Exchange Management Act (FEMA)

- Filing RBI Annual Return

- Documentation for ECB

- Filing forms namely Equity declarations, Advance Reporting, FCGPR, FCTRS and obtaining related approvals

- Keep update on FDI norms and guide on specific transactions

Due Diligence

- Handling the Due diligence process

- Obtaining the required documents from the Stake holders

- Setting process for the compliances and its reporting
