Job Profile/Deliverables

- Experience in drafting of notice, agenda and minutes and also conducting Board, Committee and General meetings of listed and unlisted companies.

- Periodical compliance of listed companies including but not limited to the submission of quarterly results, quarterly shareholding pattern, intimation of board meeting as well as general meetings, proceedings of board and general meetings, intimation in relation to the closure of register of members and register of transfer, etc.

- Drafting of annual reports comprising of Notice, Directors Report, Corporate governance report, Management discussion analysis report for the listed client companies.

- Experience in conducting secretarial audits and due diligences of listed companies including several S&P BSE 500 companies.

- Preparation and filing of periodic and annual disclosures pertaining to acquisition/sales/pledge of shares under SEBI (Substantial Acquisition of shares and takeovers) Regulations, 2011

- Guiding the companies in preparation of their policies/codes and programme pursuant to the requirement of corporate laws.

- Practical experience in revocation of suspension from trading of equity shares of the listed companies.

- Experience in drafting of legal opinions on various aspects of corporate laws.
