PURPOSE OF THE ROLE :

Maintain the organization's official and legal documents and records according to the principles of good governance and to comply with relevant laws and regulations

Company Secretary Executive

Qualification:

- MBA (Finance)/ CA, professional qualification of CS is mandatory

Experience:

At least 10 years Post Qualification Experience

Knowledge & skills:

- Acts with integrity across interactions

- Ability to communicate with and explain financial concepts to non-finance stakeholders

- Demonstrated ability to be proactive, self-driven with the capacity to work in a dynamic work environment

- Exposure to complex business environments

- Excellent analytical, written & verbal communication skills.

- Familiarity with changes in statutes

AREAS OF RESPONSIBILITY :

Secretarial Responsibilities :

- Support Annual General Meetings (AGM) by producing agendas, taking minutes, conveying decisions etc.

- Prepare the agenda of meetings in consultation with the Chairman and the other documents for all the meetings of the board of directors

- Prepare a correct record of proceedings of meetings of the board

- Support the board meetings by ensuring that the legal requirements are fulfilled, and required information provided

- Prepare, in consultation with the chairman, the agenda and other documents for the general meetings

- Prepare agreement leases, legal forms, and other official documents on the company's behalf, when authorized by the board of directors or the executive responsible

Legal Responsibilities:

- Responsible for preparation of various documents/returns as required under the provisions of the Companies Law

- Responsible for maintenance of books and registers of the company as required under the provisions of the Companies Law

- Support the meetings of directors, on their advice

- Issue notice and agenda of board meetings to every director of the company

- Record and maintain minutes of the proceedings of all meetings

- The share longer-term strategic vision of the business goals with the GM and frames the current year AOP processes in the context of the strategic ambitions

- They partner with the GM to create a performance management culture in the business

- They turn insights identified into action & facilitate the right process, including the engagement of others, to deliver or beat plan

- They are adept at identifying opportunities and challenges in ambiguous situations and influence the GM to make the best decision for the business

- They incorporate forecasts into a results-driven BPM process & works with business partners to deliver opportunities & mitigate risks

- They have an external lens, driving a clear understanding of volume, value and price performance vs the category and the competition and are able to utilize the insight improve decision making.

- They provide a critical source of insight and consistently reframe issues from different perspectives

- They appropriately balance the right level of detail, timeliness of action and management of risk in advising on or making the right business decisions

- They drive business performance management not only across the P&L but also against the balance sheet, optimizing working capital and driving cash conversion

- They are the champion of operating margin enhancement across all business decisions, leading the focus on cost control

- They take the lead role in a range of material or non-standard commercial negotiations, managing the full process, including when to escalate, if required

- BD Transactions: they own the commercial assumptions within the business case ensuring a rigorous assessment of proposed transactions & have an understanding of the overall valuation model

Financial Controls :

- They possess a full understanding of the appropriate accounting standards underpinned by experience in financial and management accounting. Therefore they understand the impact of unusual transactions on Group Accounts, Statutory Accounts & Management Accounts and a can explain accounting treatment to GM, Group Controller & KPMG such that everyone possesses a full understanding and is fully aligned

- They create the right controls environment that ensures all management processes are in line with CARM requirements and company policies

- They proactively engage with the appropriate stakeholders to ensure that Group has the information necessary to support Exec reporting and decision making

- They possess an excellent understanding of the legal entity structure and the impact of business decisions on group and local reporting including tax implications

- They fully understand all aspects of local legislation e.g. as it relates to tax, foreign exchange, thin capitalization etc. & are able to identify where it differs from Company's policy & ensure the business is fully compliant

- They understand implications of intercompany transactions and ensure statutory and group reporting appropriately reflect intercompany activities

- Their knowledge of requirements & relationships with local authorities ensures the all relevant information is accurately filed on a timely basis

- They understand the dynamic and complex nature of the external environment and have sufficient external radar and network to help prepare the Group for possible future risks

- They demonstrate deep, personal and visible leadership to ensure the controls, compliance and ethics programme is fit for purpose and is managed in accordance with the law and reinforces our values

- They ensure that the local control environments are solid and embedded. Robust processes are in place to capture, resolve and report on control weaknesses and areas of risk

- Understands the control environment required for different types of JVs and their oversight and can work with partners to implement consistently with company's requirements

- Provide guidance on the controls framework, interprets control requirements & delivers independent and unbiased view, holding the tension as necessary when there is conflict with other business goals

Financial Process and Systems :

- They apply evaluation techniques and judgment to focus on processes that critical to business strategy

- They implement continuous improvement plans with stakeholders to ensure process efficiency and simplicity

- They have strong project management skills and can sponsor and orchestrate major change projects across the business

Specialist Skills :

- They leverage business shared services to optimize efficiency compliance at a market level

- They ensure the overall finance offering, whether local or supplied, meets market requirements and are in line with the business strategy

- They develop a customer service and continuous improvement culture within finance and the business, including the development and management of service level agreements/KPIs

- Provide content and data support to investor relations to support messaging of strategy and performance

- Is aware of the level of detail and tone required to communicate with Internal and External stakeholders

- Work with Group Treasury and Tax to ensure optimal capital structure and access to funding and foreign currency transactions.

- They understand and promote our tax policy, including indirect taxes, transfer pricing, corporation tax with the aim to establishing most efficient tax position

- They are able to work with Treasury to ensure their business is funded
