Job Description:
- Organizing & conducting Board Meetings/ General Meetings required under company's act involving issuance of notices, drafting agenda, recording minutes & preparing annual reports.
- Filling of various Forms and Returns with Registrar of Companies, RBI, banks etc.
- Maintaining statutory records under the Companies Act, 2013.
- Responsible for Corporate Governance compliance related issues.
- Vetting and drafting various agreements, Memorandum of understanding, NDA's etc.
- Dealing with RBI for Foreign Exchange matters.
- Drafting correspondence for various matters relating to Customs, GJEPC and other governmental, quasi-governmental authorities based on the need of the business.
- Handling grievance redressal mechanism.
- Preparing legal notices and documents for legal proceedings under various statutory acts.
- Responsible for maintaining contacts with legal professionals for initiating and follow ups on legal procedure and finalizing various legal agreements.
- Coordinating with auditors and other external parties on secretarial matters.
- Internal checking of certain records for compliance.
- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines.
- Handles the promotion, formation and incorporation of companies and matters related therewith.
- Manages all tasks relating to Securities and their transfer and transmission.
- Acts as the custodian of corporate records, statutory books and registers.
- Manages the Secretarial/Compliance Audit.
- Signing of Annual Return where necessary and responsible for other declarations, attestations and certifications under the Companies Act, 1956.
- Advises the company on arbitration, negotiation and conciliation in commercial disputes between various parties.
- Will also assist, participate, partner with internal and external stakeholders in areas of; Corporate Social Responsibility Communication with various stakeholders, like Shareholders,.
- Government, Regulators, Authorities etc.
- Industrial and labor laws.
- Works very closely with the Finance and Legal departments.
- Frequent interaction with executive management (CEO, BU heads, HR,IT etc.
