Magicpin - Manager - Company Secretary - Legal/Compliance & Taxation (4-8 yrs)

- Compliance with all statutory, legal and tax compliances applicable to Indian company involving foreign shareholders

- Preparation of statutory registers, forms, certificates etc. as required under various Regulations

- Drafting and vetting various types of agreements (SHA, SSA, MOU, sales, vendor, lease, etc), term sheets, NDA, etc

- Timely preparation and filing of e-forms and returns and updation of Statutory Registers

- Updation of policies and procedures pertaining to Secretarial compliances as per RBI guidelines

- Coordinate with departments and collating data for preparation of agenda of Board meetings

- Timely convening and preparation of minutes of the Board and Committee meetings

- Keeping record and ensuring filing of forms and returns within the prescribed time limits and as per the applicable provisions

- Filing of returns, applications, documents, notices etc. with the Registrar of Companies

- Ensuring compliances with applicable corporate and labor laws

- Liaise with shareholders, external regulators, Government bodies, Legal Counsellors, Auditors, etc.

- Providing general advice with regard to corporate secretarial practice and legal matters

KEY COMPETENCIES, KNOWLEDGE AND SKILLS :

- Candidate should be a qualified CS cum LLB

- Minimum of 4 years of relevant and recent experience

- Experience in equity and debt fund raise- advising on legal terms and managing secretarial process

- Adept at working with various stakeholders and ability to cope with a fast paced environment

- Knowledge of setting up global operations would be an added advantage

- Strong knowledge of Indian Companies Act 2013 and compliances and related legal regulations like Foreign Exchange Management Act, General laws

- Experience of working with MCA and other statutory authorities as may be required under various legal provision
