The Role :

a. Legal Updates : Legal updates in relation to Companies Act, 2013 including circulars, orders, rules and notifications issued thereunder

b. Advisory : Advisory on various queries and interpretations of law from time to time and any practical issues related to Companies Act 2013

c. Board Meetings : Convening and coordinating Board meetings including meetings through video conferencing in compliance with the provisions of the Companies Act, 2013 and preparation of statutory notice for the same

d. Annual General Meeting (AGM) / Extraordinary General Meetings (EGM) : Convening and coordinating AGMs and EGMs in compliance with the provisions of the Companies Act, 2013 and preparation of statutory notice for the same

e. Resolutions & Minutes of the Meetings : Preparation, finalization and maintenance of Minutes of the Board Meetings and General Meetings including resolutions by circulation, issuing certified true copies and related statutory documentation

f. Certified True copy of Resolutions : Preparation of resolutions to be passed by the Board and General Meetings including resolutions by circulation and issuing certified true copies of the same to stakeholders

g. Statutory Registers : Maintenance of statutory registers and records under the applicable Companies Act and all other related Rules and Regulations therein

h. Regular MCA Forms : Preparation, finalization, certification and filing of the routine statutory forms, resolutions and declarations required to be filed with Registrar of Companies, Ministry of Corporate Affairs (MCA) within the timelines provided in the law subject to receipt of information / documents from the Company in time

i. Annual Filing : Preparation, finalization, certification and filing of forms with the Ministry of Corporate affairs for Annual return, Forms for Financial Statements (excluding XBRL) and other statutory forms, returns and certificates required to be filed with Registrar of Companies, Ministry of Corporate Affairs (MCA) within the timelines provided in the law subject to receipt of information / documents from the Company in time

j. Directors- Report : Drafting of Directors- Report and compiling necessary information and documents from internal / external stakeholders

k. Corporate Social Responsibility (CSR) : Drafting / Review of CSR policy, constitution of the CSR committee, drafting of charter for the Committee, convening CSR Committee meetings, drafting Agenda and Minutes.

l. Corporate Actions : Event based compliances like appointment and resignation of directors, allotment of shares, issue of share certificates, increase in authorised share capital, alteration in memorandum and articles of association etc.

m. Resolving queries with ROC / MCA Helpdesk : Liaison with Registrar of Companies or helpdesk set-up by Ministry of Corporate Affairs (MCA) in relation to routine forms filed including advisory and drafting replies to statutory notices or correspondence received from regulatory authorities under Companies Act

n. Reply to Statutory Notices : Advisory and drafting replies to statutory notices or correspondence received from regulatory authorities under Companies Act

o. Information : Providing Secretarial information / documents to internal or external stakeholders

p. Inspection : Inspection of Company documents at Ministry of Corporate Affairs (MCA) as and when required and sharing of report thereto

q. Best Practices : Sharing of best secretarial practices for implementation in accordance with the Secretarial Standards issued by ICSI and generally accepted norms of Corporate Governance

r. Preparation and Filing of necessary documents and returns with RBI with respect to inward remittances related to capital

s. Preparation and Filing of FEMA Annual Returns for Foreign Assets and Liabilities

t. Replying to queries from Reserve Bank of India (RBI) from time to time related to issuance of capital

u. Liaison with RBI, New Delhi as may be required for the above matters except compounding or condonation matters

v. Advisory on FEMA regulations & compliances thereof related to all FDI Funding/Debt Funding or any other source of funding

The Ideal Candidate :

- CS with over 5 years of experience in NBFC compliances, degree in law will be preferred

- Strong attention to detail

- Able to multi task in relation to advisory and execution

- Handle all kind of agreement/ contract handling with third party

- Handle legal matters from company's side

- Coordinate with multiple stakeholders at same time

- Quick learner and should possess time management skills

- Strong negotiating skills

- Have working knowledge of MS office and MS Excel

- Hard working and can work within the set timelines and update on a weekly basis
