CANDIDATES FROM TRAVEL/HOSPITALITY/SERVICE INDUSTRIES & MUMBAI WILL BE PREFERED

- Qualified Company Secretary and Legal Professional with minimum 5+ years of experience in managing the wide range of secretarial and legal functions with Leading Travel Group.

- Must have knowledge of compliances under Companies Act, activities related to Registrar of Companies/ Ministry of Corporate Affairs, understanding of various Corporate and Economic Laws and Corporate Governance Norms etc.

- Understanding and preparing of various agreements, Resolutions, replies to various Government Departments, Reserve Bank of India, drafting and vetting of legal documents, petitions, default notice, suspension notice, termination notice, cease and desist notice and handling legal cases.

- Handling Litigation and related issues and updating the management. Ensuring appropriate steps in matters assigned, and liaison with Advocates.

- Outstanding communication & presentation skills verbal as well as written coupled with good presentation skill.

- Self-motivated, hardworking and goal-oriented with a high degree of flexibility creativity, commitment and optimism.

KRA:

- Drafting, reviewing and negotiating the travel development services agreement, travel management agreement and license agreement.

- Drafting, reviewing and vetting of various legal and commercial agreements which include lease deed, Letter of Intent, Memorandum of Understanding, Non-Disclosure Agreement etc.

- Drafting of default notices, termination notices, section 138 notices, cease and desist notices, replying to complaints received from guests etc. and letters for various business purposes.

- Reviewing and preparing drafts of legal documents that have legal consequences on the company.

- Briefing lawyers in respect to legal cases filed by the company and representing the company at courts.

- Drafting, vetting and reviewing Arbitration petition, Winding up petition etc. to be filed with Hon'ble High Court of Delhi.

- Coordination with external lawyers for filing petition and suits with various courts.

- Review of various requisite licenses and insurances for operating the travel.

- Reviewing and finalizing the scheme of amalgamation of the company and other related documents.

- Actively worked on shifting of Registered Office of the Company from one state to another state and from the jurisdiction of one Registrar to another Registrar.

- Drafting of Petition and other related documents and filing with Regional Director for shifting of Registered Office of the Company.

- Alteration of Memorandum and Article of Association of the Companies.

- Conducting Board Meetings and Shareholders Meetings and responsible for the drafting of notice, agenda, minutes etc. for the meetings and preparation of circular resolutions and related documents.

- Responsible for preparing, maintaining and updating of minutes of Board Meeting and General Meetings.

- Drafting of Resolution for various business purposes.

- Filing of various forms including annual return with Registrar of Companies and handling matters related to Ministry of Corporate Affairs.

- Responsible for increasing the Authorized Share Capital of group Companies as per Companies Act, 2013.

- Review, maintenance, and updating of statutory books, including registers of members, register of transfers etc. as per Companies Act, 2013

- Responsible for filing of FC-GPR and FC TRS with Reserve Bank of India.

- Responsible for filing of Annual Return on Foreign Liabilities and Assets with Reserve Bank of India.

- Handling matters related with Reserve Bank of India and other statutory authorities.

- Liaising with the statutory auditors in carrying out an audit of all secretarial records.

- Responsible for drafting Power of Attorneys for various business purposes.

- Co-ordination with other departments for various business purposes.

- Managing day to day legal affairs of the company.
