Legal Role - Pharma/Manufacturing/Media/BFSI (3-10 yrs)
- Looking for a candidate who has good exposure into Legal - Merger & Acquisition (having 3 - 5 yrs experience into handling large deals) with one of the leading conglomerate based out in Mumbai
- Managing end-to-end M&A transactions and documentation in order to ensure optimum support for transactions with minimal legal and business risk within organizational guidelines, policies and procedures.
- M&A related transactions: Joint ventures, acquisition/divestment of shares / assets, technical collaborations, brand acquisitions/license, corporate restructuring, mergers/demergers and the offer and listing of securities.
- Corporate finance, project financing, infrastructure contracts.
- Issues relating to company law, securities law, merger control regulations and competition law and other miscellaneous queries.
- Support in structuring transactions, drafting and reviewing various types of agreements, term sheets, MOUs, powers of attorney, undertakings, deeds, legal notices, applications.
- Other legal and regulatory documentation, reviewing due diligence reports, undertaking legal research and preparation of legal notes, memoranda and opinions, participating in negotiations and conference calls.
