This is regarding the job opening ,following are the details : Role: Legal Manager Merger & Acquisition Company Name : Leading B2C aggregator of digital brands Qualification: LLB with 2- 5 years of relevant experience Location: Delhi Job Description : - Drafting and negotiating term sheets and definitive transaction documentation, supporting closing transactions and post-closing integration - Anticipate the risks and legal needs of operations; monitor, alert, advise and propose appropriate solutions - Manage relationships with external counsel and coordinate transaction execution from start to finish - Keeping track of compliance with all transaction documents as agreed with counterparties - Custodian of all transaction related documents including maintaining key terms - Draft and negotiate a wide range of commercial contracts - Management of corporate process including liaising with corporate secretaries to ensure compliance with corporate governance - Assess regulatory and contractual risks, propose innovative solutions to mitigate such risks - Ensure compliance of business operations with relevant laws and regulations - Work on antitrust compliance issues including filings and governmental responses
