We have been retained by a professionally managed General Insurance Company with global affiliations to identify a Head - Compliance, Secretarial, Legal (General Insurance). The position is based at Mumbai. Job Purpose: - Management and oversight of the legal affairs, legal risks, Compliance and Secretarial functions of the Company. - Provide active support in meeting regulatory and internal compliance requirements. Exhibit high levels of compliance and ethical standards. - Developing and leading the legal strategy across the business. - Ensure secretarial compliance with statutory requirements and to handle all secretarial activities like convening Board meetings, finalizing and distributing, agenda & Minutes of Board Meetings and facilitating implementation of Board decision - Ensuring completion of audits like Secretarial Audit, Statutory Audit in a time bound manner. Job Requirements: Compliance: - Monitoring and reviewing regulatory and legislative changes, preparing company's response to regulatory changes and following up with appropriate areas to ensure required changes are implemented. - Responsible for monitoring and ensuring the compliance, as per the compliance programme on an ongoing basis, by various internal work streams, preparation of compliance manual and regular update of the same. - Ensuring compliance with the act, regulations, rules and circulars issued by regulators viz., IRDA, Registrar of Companies, Govt. of India and other regulatory bodies. - Maintain the filing and records system for all regulatory documents, ensuring compliance with the division guidelines. - Guiding and assisting departments in relation to compliance. - Identify compliance issues that require follow-up or investigation. - Ensuring Compliance of IRDA Guidelines on all Regulations applicable to the activities of the Company. - Ensure internal customer satisfaction by providing quality and timely feedback / response. - Update senior management on relevant changes to regulation. - Review documentation, publications and advertisements for compliance with regulations. - Provide compliance input for new products, developments and initiatives. - Oversee and manage the complaint process including the responses to Department of Insurance. Legal: - Liaison with external legal counsel for legal matters on recovery, civil and/or criminal litigation's. - Drafting of various letters, notices, Prospectus. - Vetting of documents and agreements. - To advise internal management on various regulatory and legal issues and assist in developing internal policies in line with Compliance needs. - Brief attorneys and legal counsels for ongoing matters. - Responsible for day to day legal activities and monitoring. - Review and provide legal advice on documents, agreements etc. - Review ongoing cases and advise management accordingly. - Identification of legal risks and take appropriate courses of action for the same. - Provide legal protection and risk management advice to management. - Review progress of outstanding litigation and liaise with external lawyers. - Assist the legal team in implementing Legal Process Manual, in Finalization/Revert on Legal Agreements/documents, Contract Management and documentation and drafting legal opinions and revert to legal queries for internal customers. Secretarial: - Management of all compliance under Companies Act, IRDA regulations, provisions of Banking Regulation Act relating to directors/shareholding, filing of forms with stock exchanges (Indian and Overseas), Registrar of Companies (ROC), engaging with officials of stock exchange, ROC to resolve interpretational queries, implementation of regulations etc. - Guidance to subsidiaries on secretarial practices, processes and policies to ensure that these are consistently followed across the group. - Maintenance of secretarial records, statutory books and registers. - Filing of returns with Registrar of Companies. - Monitoring of drafted resolutions, required lodged forms and annual returns. - Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval. - Contribute to meeting discussions as and when required, and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies. - Monitor changes in relevant legislation and the regulatory environment and take appropriate action. Desired Skills and competencies: - Good Knowledge of laws & regulations governing the Contracts and the ability to draft, analyse, interpret and negotiate complex contract terms and conditions and integrate commercial/business needs with contractual obligations. - Practical approach to compliance. - Ability to assess Risk, analytical skills and attention to detail. - Ability in making tough decisions and to exercise good judgment notwithstanding business pressures. Very good communication skills. - Thorough with Insurance Laws and related regulations, notifications and circulars, grievance handling with regulatory viewpoint. - The ability to firmly, tactfully and confidently deal with internal and external customers at all organization levels in independent and often stressful situations. - Self-motivated, independent and confident. - Ability to learn quickly. - High ethical standards. - Ability to work under pressure. - Effective and persuasive communication qualities. - Team Player. Candidates Profile: Candidates should be LL.B., LLM. CS with about 12 to 15 years- experience in the General Insurance, - Compliance, Legal and Company Secretary function.
