Legal Counsel

Job description:

- Hands on experience with the India, US and Europe contract laws.

- Engaging with stake holders to understand business requirements and draft necessary contracts. Ensure that the risks are identified and adequately covered trough the contract document.

- Experience in drafting customer, vendor and employee contracts

- Providing legal assistance to sales and marketing activities including RFP's RFQ's for international contracts.

- Manage different types of contracts (Customer, Vendor, Employee), legal reports and supporting documentation and provide quick turn around.

- Strong technical knowledge and experience with contract negotiation, confidential agreements, commercial contracts with strong attention to details.

- Execute necessary measures to protect the company from legal risks.

- Responsible for legal advise and managing issues related to patents, IP, etc.

- Provide general legal advice to employees and corporate officers (e.g., HR, corporate, ethics, litigation, etc.)

- Manage all legal operations and procedures.

- Closely work with the finance and the business streams on providing legal advice and support.

- Utilize confidentiality in all business-related matters.

- Review and finalise work authorization documents

- Control the expiry and renewal process with operations and finance

- Engage in discussions with customers and vendors legal teams where legal expertise is required

- Draft/amend MoA/AoA, resolutions, follow up and review progress of litigations

- Prepare and update liability schedule for financial reporting

- Negotiate with customer/vendor legal teams on terms and conditions of contracts, provide alternate wordings limiting exposure of the company

Requirements:

- Excellent knowledge of corporate law, specifically with the US and European corporate laws.

- 10+ years of experience (preferably some with a law firm)

- Hands on experience with Contract Drafting, Vetting Contracts, Reviewing Contracts.

- Should have worked in IT firms dealing with US and European clients.

- Must have done LLB / LLM

- Good time management skills

- Ability to multi-task and be responsive to clients.

- Strong interpersonal and communication skills

- Strategic thinker and problem solver

- Ability to work under tight timelines.

- Must have a business and practical perspective when evaluating and drafting documents

- Has experience handling legal experts and enabling them in every manner

- Knowledge of Indian and International labor laws is an added advantage
