Legal Counsel with GBL (Goat Brand Labs)


KEY RESPONSIBILITIES:

- Drafting and negotiating transaction documents including term sheets, definitive agreements, shareholders agreements, business transfer agreements, closing documents for the transactions

- Drafting, reviewing, and negotiating commercial contracts including agreements relating to procurement, service, consulting, distribution, external manufacturing, sales, license, intellectual property, and other legal agreements

- Advising the company's mergers & acquisitions team and the business team on a varied range of legal and regulatory issues

- Leveraging the systems for workflow management, tracking and communicating the status of legal matters

- Solving legal issues with minimum supervision, while escalating issues to relevant internal teams

- Analyzing and summarizing transactions and deal-specific deviations from standardized templates

- Ensuring implementation and compliance with company's policies across portfolio brands

- Assisting the brands with identification, registration, transfer, and protection of their IP

Qualification and experience :

- Preferably from a Tier II college

- Minimum 2-3 years of post-qualification experience in the areas of M&A, contract drafting, corporate advisory in a law firm or in-house

- Knowledge of Companies Act, FEMA Regulations, Contracts Act and employment laws

- Ability to lead fast-paced projects with strong attention to detail

- Ability to resolve business problems with applicable legal framework
