Legal Counsel - M&A & Investments (9-12 yrs)
Our client is an Institution that invests in Fintech companies. We are looking for an inhouse legal counsel who will have the following responsibilities :
1. Coordination with Investment team for discussing proposals on investments, follow-on investments in various entities.
2. Reviewing, vetting and finalising shareholders' agreements, share purchase/subscription agreements in relation to strategic investments.
3. Liaising with external lawyers, internal/external stakeholders for finalisation of investment agreements, term sheets.
4. Drafting, vetting and finalising confidentiality agreements, memorandum of understanding, letter of intent, engagement letters etc.
5. Filing of Form DI on SMF FIRMS' portal and FIFP portal for reporting of indirect/downstream investments.
6. Drafting, reviewing and vetting of joint venture agreements, due diligence on target companies.
7. Reviewing and vetting service level agreements, memorandum of understanding for partnering with Fintech vendors.
8. The above points apply to divestments as well
9. Keeping team updated on investment regulations (such as SEBI, RBI guidelines) as applicable
