Legal Counsel - M&A - Infrastructure/Power/Energy Industry

Law Graduate with 4+ years of experience in Merger & Acquisitions with Infrastructure/ Power/Energy Industry only

Job Description:

- Assist the reporting Senior Legal Counsel in matters ranging across project documentation, M&A transactions, project financing, compliances, and general transaction management to ensure compliance with Company standards.

- Responsible for providing continuous legal support in terms of project documentation with the objective of enabling the realization of the project within the limits of companies values and ethics as well as prevailing regulations, laws and policy frameworks.

- Manage complete project documentation in line with terms and conditions with the objective of safeguarding both its legal and commercial business interests

- Assist the financing documentation process to ensure timely financial closure for projects

- Act as a legal advisory to all businesses and departments to help the organization achieve its strategic objectives

Functional Skills

- Understanding of and experience in the power/Infrastructure sector

- Indian laws relating to the energy/power/Infrastructure industry

- Drafting, negotiating, reviewing and managing high value long term commercial contracts and M&A agreements

- Management of negotiations with customers (bid documents, PPAs), contractors (EPC, O&M Contracts), government agencies (bidding guidelines, new laws) and JV partners (JV/Share Purchase Agreements, Shareholders' Agreements)

- Knowledge of laws relating to operations of a wholly owned subsidiary of a foreign company
