(i) Provide legal guidance and support on fund raising, financial restructuring, M&A etc: - Equity capital market transactions - IPOs, QIPs, Rights Issue, OFS, etc - Mergers &amp; Acquisitions - Private Equity - Schemes of Arrangements - Preferential Allotments and other Fund /Capital Raising transactions by way of equity, preference shares or equity convertibles - Investments &amp; Divestments by GMR Group - Corporate Actions (such as buy-backs, stock splits, reductions of share capital, bonus issues, stock consolidations, conversions) (ii) Effectively lead the legal due diligence process &amp; assure closure within highly critical, assigned timelines (iii) Advise on corporate law, legal and compliance issues and other regulatory requirements (iv) Drafting and review transaction documents &amp; finalization of definitive agreement, non-compete agreement, non-disclosure agreement pertaining to the transaction. Ability to exhibit sound negotiation skills and advising business and other functions on various legal issues faced by them in transactions - Effectively and efficiently liaise with internal and external stakeholders and transaction counsels on the Transactions Ability to exhibit efficient transaction management skills to turnaround the transaction as per the project timelines v) Review and negotiate general commercial contracts - Preparing deal bibles - Due diligence - Research oriented assignments
