LEGAL HEAD - BUSINESS CONGLOMORATE

At present we are having an opening for LEAD - LEGAL (till AGM) for a reputed business house in Kolkata.

The company is a of a renowned business conglomerate which has had a significant role to play in nation-building for over 200 Yrs in areas of #technology, #automotiveindustry, #homebuilding, #papermills #healthcareindustry & #education. It has a history of 86 Years and standing strong when the average age of S&P 500 companies today is less than 18 years!

JOB RESPONSIBILITIES :

LEGAL AND COMPLIANCE :

Litigation Management :

- Strategic decisions w.r.t. existing and prospective litigations; analysis of litigations and suggest mitigation strategies to reduce/ avoid similar litigations in future; Modifications / Alteration to the contract templates to put in place safeguard against future litigations;

- Recommendations on out of the court settlements after considering the financial, operational and reputational implications and likely possibility of favourable outcome;

- Management of litigations at various courts (High Court, Supreme Court) and other legal forums including recovery suits, IPR infringement suits, consumer complaints, cheque bouncing matters, labour disputes, public interest litigations, arbitrations, writ petitions, NCLT proceedings, quashing petitions, caveats and other applications; Police complaints in fraud matters

Ethics and Compliance :

- Driving a culture of governance, ethics and compliance; Branch Audits for ethics / compliance; Experience in internal investigations/ fraud detection and investigations

- Roll-out and monitoring of Legal Compliance System; legal support in ensuring compliance with the applicable laws rules & regulations including compliance with employment laws;

- Monitoring compliance across the business and identifying areas involving risk of non-compliance; Making recommendations on various compliance related issues;

- Providing guidance and instruction to the regional counsels for both compliance and legal matters;

Contract Management :

- End to end management of commercial contracts w.r.t. procurement of products and/or services including evaluation of vendor proposals, due-diligence of vendors before onboarding, negotiations meetings with vendors, contract executions and post contract monitoring process

- Drafting, vetting and negotiating terms and conditions in commercial contracts with customers, intermediaries, suppliers and other third parties; expertise in negotiating and finalising high value Master Service Agreements (IT, procurement etc), Share purchase Agreement, Joint Venture Agreements, Technical Know-how Agreement, Sale and Lease Back Agreement, Slump Sale Agreements etc

- Standardization of various commercial contract templates by safeguarding the interest of the organisation from legal, finance, operation and reputation perspective leading to reduction in the turnaround time required to procure goods/ services

Advisory Role :

- Legal advice to management and internal stakeholders on business, regulatory compliance, legal matters with focus on identification and mitigation of various risks

- Worked closely with Regional Legal Teams on legal matters and cross regional projects

- Advise on issues relating to legal, compliance, ethics in evaluation of business development/ expansion projects, Joint ventures, onboarding of channel partners/ sales representatives, opening of overseas branch office in Thailand, Singapore

- Liaison with the external law firms (Indian / International) and / senior counsels on various legal matters

- Legal research on various legal matters including employment laws; interpretation; clarification on legal language

Risk Management :

- Identification of legal risks and risk mitigation measures; Risk assessment for commercial contracts and recommendations for minimization of risk in contractual relationships; Risk Register
