Lead - Company Secretary & Legal - Manufacturing Firm (13-20 yrs)

- Company Secretary & Legal Head will be primarily responsible for the company's secretarial matters and is accountable to the Board of Directors collectively. The position will report to Executive Director.

- The incumbent also interacts with the SEBI and the shareholders, to provide relevant reports and information on governance as per relevant Laws/Rules/Regulations.


- The incumbent shall also look after all legal matters of the company and head the legal function.


- This role is focused to drive the excellence in compliance management and legal by leveraging best practices to improve business results in a continuous and sustainable manner. This is intended to be a highly critical position to meet and serve vital business needs.

KEY RESPONSIBILITY AREAS :

- Ensuring compliance with the provisions of the Companies Act, FEMA, RBI Regulations, SEBI Regulations including Insider Trading Regulations, Takeover Code and Listing Regulations for the Company and its Group Companies.

- Managing all aspects of Board, Committee, Shareholders meetings, Postal ballots for the Company and its Group Companies including issue of Notices, preparation Agenda Minutes, Action Taken Reports.

- Handling and managing digital tools of compliance, insider trading and submit report to the management/Board

- Handling investor grievance, reply to shareholders, distribution of dividend, transfer of dividend/shares to IEPF, claim of shares/dividend by shareholders from IEPF

- Statutory Filings, Compliance and Maintenance of Statutory Records under the Companies Act, SEBI Regulations and FEMA

- Working closely with Leadership team, Statutory Auditors, Internal Auditors, consultants, & Secretarial Auditors on various matters
