CS Only Key Accountabilities :  Accountabilities Cluster Major Tasks  I. Secretarial - Dealing with matters pertaining to the Companies Act, 2013, Secretarial Standards, FEMA, RBI Act and provisions for NBFC;  - Conducting Board/Committee meetings through physical or VC presence  - Identification, drafting of agenda and minutes, including Board/ Committee(s)/ General Meetings, etc.  - Timely filing of all applicable statutory forms, returns, documents, XBRL filings with various statutory agencies e.g. ROC, MCA and other statutory authorities  - Timely maintenance of various records and registers under the Companies Act, 2013  - Should have handled various transactions, i.e. fund utilization, Issue of Capital, changes in Directors, Related Party Transactions, Inter-corporate loan, guarantee or investments, etc.  - Provisions and Compliances w.r.t. to Corporate Social Responsibility (CSR) activities, Changes in MOA & AOA, Creation/ modification/ satisfaction of Charges, Revision in the Managerial Remuneration, etc.  - Dealing with NSDL & CSDL, RTA, shareholders towards dematerialization of shares  II. Trade Marks - International - Dealing with Attorneys/ lawyers for matters related to International Trademark  III. E-Waste Management Rules, EPR Authorization and compliances with Pollution Control Boards - Compliances w.r.t. E-Waste (Management) Rules, 2016 and dealing with State/ Central Pollution Control Board(s)  Major Challenges :  - To comply with the requirements of Companies Act, 2013, Secretarial Standards, Foreign Exchange Management Act (FEMA), Trademark Laws, E-Waste (Management) Rules, 2016, etc.  Key Interaction :  Internal External :  Treasury team, AP Team, Internal Auditors, EA's of directors. Etc. Practicing Company Secretary, Legal Attorneys, Pollution control Board, Statutory Auditors, Secretarial Auditor, official in ROC
