The resolution and restructuring of stressed assets in India presents a significant opportunity for KPMG to provide advisory services to various stakeholders including creditors and prospective investors. The Indian Bankruptcy Code and Regulations and the government's focus on cleaning up bank balance sheets have led to increased deal activity in the space. To tap into this opportunity, KPMG has created the Special Situations Group focusing on providing services in the areas of Insolvency Professional (IP) Advisory, Resolution Services and Turnaround Advisory.

ROLE & RESPONSIBILITIES - 

The person would primarily be required to lead the project team, keep the work focused on the objectives and market the group's services.

Some of the key work areas would include:

- Building relationships with key corporate groups, lenders and financial sponsors, ARCs, legal advisors and other participants in the stressed assets space

- Analysing the financial and operational positioning of stressed corporates to proactively generate leads for opportunities

- Building a healthy pipeline of opportunities and mandates in the specific areas related to, Insolvency and Bankruptcy Code, debt restructuring across various sectors especially those witnessing high levels of stressed assets (infrastructure, metals, real estate, telecom, highways etc.)

- Coordinating pitch presentations to obtain new mandates from lenders and investors

- Lead execution of transactions including day to day management and Project management and monitoring a team of [Managers] and Associates

- Business Modeling and Plan Development and an ability to analyse and envisage new / key sector trends

- Financial Modeling and Analysis - developing materials including Information Memorandum, financial model, presentations, resolution plans including preparation of rectification/restructuring/SDR package based business plans.

- Coordinating and managing due diligence process in a transaction

- Work with legal advisor for finalization of transaction documentation including termsheets (non-binding / binding) and definitive transaction agreements

- Keep abreast of new developments in the profession, the business, the industry and the regulatory environment, including Insolvency regulation and developments in the restructuring space

- Build a strong network with peers and professionals in the field

- Credit monitoring of clients, review of operational and financial performance, cash flows, etc. to proactively suggest strategic options including JV / partnerships, acquisitions or divestitures

Synergising with lenders, restructuring agencies, auditors, LIEs, valuation agencies

- Coordinating and managing the financial, tax, commercial and operational due diligence process in a transaction

- Provide inputs for group business plan and future direction of the practice

- Evaluate economic and legal risks to the Firm arising out of engagements, consult and adopt suitable risk management practices

- Keep abreast of new developments in the profession, the business, the industry and the regulatory environment

THE INDIVIDUAL

- Have 8+ years of post qualification experience in managing stressed assed, dissolution, mergers & Acquisitions, PE Fund raising and Valuations or in a similar environment

- Good understanding of RBI circulars/guidelines and other regulations related to stressed asset resolutions

- Experience in debt markets, including syndicating debt / project finance desirable

- Knowledge and experience of debt financing products such as project finance, term loans, ECB- s, corporate bonds, promoter financing, mezzanine capital, acquisition finance, structured finance, etc. and relevant RBI and SEBI regulations will be a key positive

- Relationships at the senior management level with corporates, banks (PSU & private sector), ARC- s, stressed asset funds, NBFC- s, and other players active in the restructuring space desirable

- Knowledge of restructuring laws, regulations and processes including CDR/JLF, SDR, S4A, New Insolvency Code etc. is essential

- Understanding of legal, tax and financial structuring issues relevant to restructuring

- Strong and well rounded business and macroeconomic understanding

- Strong network of relationships amongst the investing community or large corporates

- Strong analytical bent of mind and structured problem solving approach

- High level of strategic and creative thinking and an ability to come up with solutions from a tax or legal structuring perspective

- Extremely high level of comfort with spreadsheets, MS word and Power point

- Have strong soft skills like; interpersonal skills, team skills, communication skills - both verbal and written

- Have the ability to work under pressure - stringent deadlines and tough client conditions which may demand extended working hours

QUALIFICATION

- Be a qualified CA (ideally 1st attempt)/ MBA (finance) from a reputed institute
