- Head the Legal & Compliance function of the Company  - Responsible for managing the entire Legal & Compliance team, ensure proper training for them  - Represent the company in all legal and compliance matters, including court and police matters   - May represent as Compliance Officer with regulators and statutory authorities (SEBI, PMLA/FIU, RBI, PFRDA, IRDA etc)   - Develop and keep updated the standard operating procedure (SOP) for Legal & Compliance Department (including underlying Policy and Forms)   Legal Matters :  - Track all pending litigations in the company and report in the prescribed format on periodical basis   - Ensure that all the litigations are taken care of on time. Depending on requirement, to get responses drafted internally or by empaneled advocates, ensure proper appearance & argument in the court to defend the Company  - Instructing and working with external counsel, reviewing and negotiating legal opinions  - Supervising legal due diligence involving the business and transactions  - Support in recovery of outstanding bills or similar other matter  - Initiate and manage arbitration cases as & when decided   Contract Management   - Track all contracts in the Company, ensure system trigger to relevant stakeholders on due renewals   - Drafting & vetting of contracts & legal documents - both domestic and international   - Managing total inventory of contracts within the Company   - Track Outsourcing policy of government jurisdictions outside India  Compliance Matters:  - Ensure Compliance with regards to all regulatory requirements - relating to Companies Act, SEBI, RBI, PMLA/FIU, contract labor, shops & establishment, other employment/labour law matters, etc. (including systematic tracker and due date triggers)   - Support business team in providing clarifications on Compliance matters   - Supporting all regulatory inspections, audits, and communications with regulators  - Dealing with Depositories, NSE/BSE including their compliance requirements   - Tracking and closing investor grievances escalated to Compliance team   - Provide response to all regulatory and statutory authorities on investment information   - Maintaining all Regulations including updates, circulars, notifications etc in internal system   - Tracking and circulating details of - debar individuals and entities- who are debarred from dealing with securities - with underlying conditions   - Ideally from BFSI (Banking, Financial Services, and Insurance) industry with prior experience in law practice  - Mix of Legal practice & working with Corporate would be preferred   - Experience in managing Corporate laws, Mutual Fund Regulations & Capital Market related Laws   - Experience in dealing with police, lawyers & other external agencies   - Proficiency in laying out contracts, MoUs with clients or vendors  - Previous experience in setting up SOPs, Policies, Contract Management Systems would be added advantage   - Experience of listing of equity or debt instrument - not mandatory but would be preferred
