Associate - Legal

Portfolio company-related scope of work:

- Liaising with the legal/tax consultants for due diligence, and documentation for our prospective investee companies.

- Drafting, vetting, negotiating and finalizing various documents relating to investment transactions including term sheets, SSA, SHA, SPA, addendums, and follow-on investment documentation.

- Due diligence and compliance for small-size companies.

- Attend board or shareholder meetings of portfolio companies for voting on behalf of the Fund to approve technical matters.

- Review and assist the investment team in approving reserved matters for portfolio companies.

Fund-related scope of work:

- Understand the venture capital business and our Fund offerings along with allied documents including PPM, IMA and Contribution Agreement.

- Keep a track of regulatory changes (viz. SEBI AIF, RBI) and identify the impact of these regulatory changes on Fund business, and suggest any amendments in allied documents.

- Liaising with the regulatory bodies, Trustee, legal consultants, or internal team members for compliance, regulatory reporting, and documentation for the main India Funds and offshore feeder

Funds.

Investors-related scope of work:

- Compliance support or query handling for investor communication.

IM-related scope of work:

- Drafting and vetting agreements with service providers and other stakeholders.
