Head – Legal

- Ingenico Group is looking for Head of Legal for its India business. You will have an opportunity to work in the fast-paced international payment industry that is constantly developing and changing. 


- Working as the Head of Legal team means being a partner to business on contracts and deals. You will have a significant impact on the business success of the company. 


- Furthermore, this senior position entails acting as advisor to other team members and provides for the opportunity to become responsible for operational management of the department.

- You will report to the General Counsel APAC and be part of a close-knit and multi-functional team.

Deliverables / Tasks :

Coverage : Assist all group companies of Ingenico Group in India and their respective businesses in India, Nepal, Sri Lanka and Maldives.

Agreements : Drafting, reviewing, negotiating (with internal and external stakeholders), execution and record management of all types of contracts including but not limited to service contracts, license contracts, sale or lease contracts, vendor contracts, and RFPs.

Team Management : Manage and monitor day to day operations of Legal Department in India. Monitor and upgrade internal processes for efficient operations of Legal Department in India.

Legal Advisory : Advise, support and guide local and global management and departments from Indian law perspective.

Disputes and Litigation : End to end management and coordination of all types of disputes (civil and criminal) wherein any legal entity of Ingenico Group is involved. The role will also involve coordination with law enforcement / statutory authorities.

Corporate / Secretarial : Ensure strict adherence to Companies Act in coordination with Group.

Policies : Review and drive compliance of Group policies (e.g. Contracting Principles, Code of Ethics, anti-corruption).

Data Protection : Broad understanding and appreciation of data protection regulations including EU GDPR.

Compliance : Good understanding of Anti-Corruption laws including FCPA and UK Bribery Act. Ensure compliance of all statutory and legal requirements including filing.

External Advisors : Manage and liaise with external counsels and advisors.

Notices : End to end management and coordination of legal notices received or to be sent by Ingenico Group. Also drive strategic communications with customers or regulators.

Reporting : Provide regular reports to local and global management as the case maybe.

Others :

- Identify, guide and assist in mitigation of legal risks in connection for new and existing products.

- Assist and manage intercompany agreements, M&A, secretarial etc.

- Provide legal support to various functions including Finance, HR, Compliance, Commercial, Procurement, Administration.

- Provide time-sensitive support on legal inquiries.

- Identify and mitigate legal risks.

- Any other related duty as may be required from time to time.

- Proficient in Microsoft Office (Word, Excel, Outlook) and database tools.

- Acting as a role model for other and team members and providing guidance to team members on corporate and commercial matters.

- Willingness to travel if needed.

Experience :

- Full time LLB degree. (CS will be an added advantage)

- Between 10 and 15 years of post-qualification work-experience with a minimum of 4 years in MNC or tier 1 / tier 2 law firm.

- Work experience in a corporate environment and preferably in the tech sector;

- Experience in direct dealing with (internal and/or external) customers and/or suppliers;

- Excellent contract drafting skills.
