Group Head Company Secretarial Functions

Job Description:

- Responsible for Groups Legal & Secretarial Functions handling Debt & Equity Transactions as well as Capital Market transactions 

- Manage relationships and all issues relating to the Board of Directors and Shareholders, including convening Board, Committee and General Meetings;

- Contracts relating to Restructurings, acquisitions, JVs and Collaborations

- Documenting transactions such as Corporate Restructuring, Acquisitions, Hive-off's, Share Acquisitions, Share Transfer(s), JV / Restructurings,

- Responsible for Documents related to the processes for NCLT and IBC related EOIs, Bids, Transactions

- Procuring Legal Advice / Opinion on any Legal Contract(s) that may be referred - Handling such transaction includes preparation/vetting of initial documents such as NDAs, MOU/Letter of Intent/Draft Term Sheet(s) etc.; review of relevant existing agreements (if any); opinions of any key issue; Drafting/Review, final documentation of the Definitive Transaction Documents etc.

- All Statutory Compliance's of Group companies

- Shortlisting engagement & fee terms with external counsels [existing counsels - engaged transaction wise

- To develop SOP's (Standard Operating Procedures for the working of the Legal Department) as and when required.

 Qualification and Experience required: 

- LLB undergraduate degree;

- A Masters degree/professional qualifications will be an added advantage; 

- 15-20 Years relevant working experience; 

- Strong knowledge of Legal services and Risk Management;

- Policy Development, Regulatory Compliance, Contract Negotiations Skills;

- Good Drafting Skills; and 

- Good Communication Skills, Leadership and Management Skills
