GROUP COMPANY SECRETARY:
Key Responsibilities:
- Responsible for Compliance under the Companies Act, rules & regulations applicable to the Group Companies.
- Responsible for Compliance under Companies Act, RBI/FEMA regulations /SEBI LODR,
- should be abreast with latest Rules /regulations under Companies Act and RBI/NHB Master directions applicable to NBFCs & HFCS and SEBI Provisions.
- Ensuring Compliance with Corporate Governance and Secretarial Standards.
- Holding & Conducting of applicable statutory Committee(s) Board and General Body Meetings for all companies in group.
- Complying with the Filing requirements of returns and forms as applicable under Companies Act, 2013, RBI /NHB Master Directions, SEBI LODR, 2015.
- Issuance & Listing of Equity Shares, CCP(s) and Debt Securities of Group Companies
- Liasing with internal stakeholders like Statutory Auditors, Internal Auditors and Tax Auditors and external stake holders including regulators such as RBI/NHB, Stock Exchanges, RTA, Depositories, Secretarial Auditors, Due Diligence Advisors.
- In-depth Knowledge of framing and implementing Employee Stock Option Schemes
- Ensure ESG Compliance for Group Companies.
- In-depth Knowledge of agreements like Share Holders agreements/Share Subscription Agreements/ NDAs.
- To represent the Group before the investors and other stake Holders
- To represent the Group before Statutory and Regulatory authorities .
- Ensure entire compliance functions of the Group Companies.
Skills:
- In-depth Knowledge of Company Law, Listing Agreements, Corporate Governance relating to NBFC and HFCs.
- SEBI (LODR) Regulations
- Practical exposure relating to Listing of Debt and Equity
- Exposure relating to redressal of Investor Complaints
- Conversant with RBI regulations applicable to NBFCs & HFCs
- Excellent verbal & written Communication
- Effective interpersonal skills to effectively communicate and Coordinate complex issues and projects with diverse levels of management and employees (stake holders management).
Persona:
- Qualified Company Secretary with 12+ years of experience and member of the Institute of Company Secretaries of India
- Work Experience in BFSI/Fintech (Financial Services Industry) is a must
- Will be an added advantage if the candidate holds a Law Degree
