Position General Manager - Legal  Division/ Department : Legal  Location : Bangalore  Reporting to Sr Vice President - Corporate Affairs & Group General Counsel  Reported by: None  No. of positions: 1  The brief description of the job:  This position will involve providing advice to the management teams relating to Himatsingka's business and operations globally, regarding day-to-day legal support on a wide variety of corporate and commercial issues.  Organizational Brief:  The Rs. 4000 crore Himatsingka Group is a vertically integrated home textile major with a global footprint. The Group focuses on the manufacture, retail and distribution of Home Textile products. On the manufacturing front, the Group operates amongst the largest capacities in the world for upholstery fabrics, drapery fabrics and bed linen products. Spread across Asia, Europe and North America, its retail and wholesale distribution divisions carry some of the most prestigious brands in the Home Textile space and cater to Private Label programs of major retailers across these geographies.  Job Responsibilities :   The following duties and responsibilities generally reflect the expectations of this position but are not intended to be all-inclusive:  - Commercial contracting duties:  - Structure and advice on the company's business initiatives, strategic alliances and business development. Undertake related structuring, due diligence, legal documentation negotiation, drafting and review, and advisory work.  - Independently negotiate, draft and review contracts and agreements arising out of the business operations.  - Compliance duties:  - Support the compliance function in implementing the compliance program.  - Disputes & External Counsels management:  - Dispute management through external counsels.  - Negotiate preferred provider and alternative fee arrangements with outside counsels within the legal department's processes and guidelines. Lead and direct effective utilization of outside counsels including obtaining budgets, monitoring and controlling expense and performance.  General duties:  - Provide advice and counsel on a wide variety of regulatory, business, operational, employment, environmental, corporate and commercial issues.  - Support in harnessing the Intellectual Property Portfolio of the Group.  - Assist with policy drafting, budget preparation and management.  - Serve as a strategic partner of the management teams globally.  - Support the compliance function in implementing the compliance program.  - Lead mergers and acquisitions and assist with due diligence and drafting.  - Draft commercial contracts, asset purchase agreements, share transfer agreements, equity investment agreements.  - Advice on SEBI, FEMA related issues.  - Manage team member/s if assigned.  - Manage external counsels in India and USA, UK, Europe.  - Assist and manage litigations in USA, UK, Europe.  - Partner to develop and implement strategic training and educational programs.  Key Knowledge & Skills Required :  - Should be very proficient in spoken and written English.  - Substantial experience in handling cross-border commercial contracts, investment transactions including joint ventures, fundraising financial transactions and dealing with relevant regulators.  - Should have drafted and negotiated commercial contracts within India and across other geographies.  - Advanced computer skills and proficiency in MS Office suite.  - Excellent communication and research skills.  - A keen eye for detail.  Personal Specification :  Qualification A bachelor's degree in law from a reputed institute. A master's degree outside India is a plus.  Experience required :  - Advanced knowledge of contracting principles and drafting.  - Should have at least 10 to 15 years of prior in-house corporate and/or law firm experience.  - Departmental Interface Across all functions.  Capabilities and Competencies :  - Should be a team player  - Should have a pro-active approach
