Head - Secretarial - NBFC

Urgently scouting for "Head of Secretarial " with a leading NBFC company based of Chennai.

Looking for candidates with an experience of more than 8 years in Secretarial activities, Secretary operations, company secretary, Merger and Acquisition, SEBI regulations, Compliance.

The candidate should have team handling experience.

Role and Responsibilities

- Convening Board and General Meetings - both physical and e-meetings;

- Drafting and Vetting board / secretarial documents viz., notice, agenda, minutes, company policies etc.

- Responsible for preparation of annual reports;

- Experienced in handling secretarial matters end to end for meetings;

- Maintenance of statutory registers and making available for inspection to shareholders;

- Communication with Board of Directors on disclosures /declarations, Board evaluation, fixing meeting dates, compliance matters for DIN, independent directors registration etc., involved in budget preparation.

- Addressing shareholders' requests, queries on - transfers, transmissions, dividend revalidation, duplication of share certificates etc.

- Responsible for regulatory filings under various statutory laws;

- Amendments to Memorandum & Articles of Associations;

- Liaison with regulators viz., RBI, SEBI, Stock Exchanges, MCA & IRDAI, hand

- Mergers and Acquisition

- Preparation of MIS on matters such as, shareholders correspondence, compliance status and

- Responsible for secretarial compliances for satellite companies - including maintenance of statutory records and filing of returns;
