PRIMARY FUNCTION Background - As part of the company's Companies Leadership team and reporting to the Board &amp; CEO the candidate will function as custodian and representative of the company on all legal issues. He will be the functional lead, heading legal personnel to guide the company on all issues which require legal diligence, compliance, advice, and counsel. - Advising on Banking/Finance/Consumer lending/Compliance/AML matters in FinTech companies in India and abroad. Leading legal projects, process management, and communication with national and foreign regulators, and financial institutions. Specializes in legal and compliance, corporate governance, external affairs, strategy, contracts, managing legal &amp; regulatory risks, litigation, and legal audit. - Having experience in spearheading the legal, regulatory compliance, corporate governance, external affairs, and govt. relations for setting up a software / fin-tech in India. - To act as a General Counsel and Head Compliance, You should be able to advise the Board of Directors and the Management on various legal and regulatory compliance affairs on mobile banking, payments bank, prepaid payment instruments business, mergers, and acquisitions. NATURE &amp; SCOPE - Working with multiple stakeholders and multiple agendas on complex files. - Workflow into the General Counsel's office is not even, and during times of peak demand, the careful judgment must be used in prioritizing files that cannot be sent to outside counsel. - Dealing with sensitive files that involve the reputation of the University and members of the University community and that have ramifications for potential liability is a typical challenge. - Providing advice on ethical issues that periodically arise. THE ROLE 1. Key Responsibilities - Handling the broad spectrum of day-to-day legal affairs of the business. Reporting to the CEO/ Board of Directors on material legal matters periodically - Establishing controls and monitoring mechanisms for ensuring statutory compliance across functions in the company. Conduct legal audits in the company to give assurance to the SMT/ Board of Directors. - Advising the CEO/Board and senior management team on a wide variety of legal issues, including legal litigation, contracts, laws, labor as well as compliance. - Advising management on legal aspects of introducing new FinTech services in India and abroad; Legal Due Diligence - Cross-border Legal Project Management as and where required. - Working with national and foreign legal professionals on implementing innovative FinTech services - Working on implementation projects of new consumer lending services and products - Advising on international payment system/card rules and regulations, account information service provider requirements as per Directive - Researching new markets, and providing practical solutions for entering chosen markets - Consulting management of the company on various corporate aspects; Ensuring Legal Process Management within the company, developing Compliance policies - Leading communication with national and foreign state institutions, banks and regulatory agencies; - AML procedures and compliance, related process management and efficiency control - GDPR matters, KYC, CDD. - Driver and cascade global legal initiatives as necessary from time to time. Providing advisory and legal services to the global team, leasing, compliance with employee and workplace legislation, contracts, IP issues. - Drafting, reviewing and negotiating a wide range of commercial contracts. - Liaise with government authorities in different geographies / represent the company in industry associations in shaping government policies. - Coordinate with the Companies- Global team &amp; create, vet and Implement the COMPANIES- legal and global policies and procedures. - Developing and coordinating litigation strategies and coordinating centrally all litigation across the Globe. - Work with Finance and HR functions in establishing a strong compliance and governance framework.&nbsp; Key Skills and Leadership Requirements - Ability to manage and lead legal experts within and outside the company. Should have demonstrated leadership traits in previous roles. - Willingness to accept counsel and adopt a consultative approach where required but taking responsibility for the outcome. - Generalist lawyer, with a flexible approach to work and a strong sense of personal responsibility and bias for action. Be conversant with legal metrology. - Excellent legal skills with an ability to apply business solutions to legal problems. - Excellent grounding in the contract and commercial matters. - Network within the Legal community and the Industry Players to be able to shape/influence opinion on emerging legislation - Provide guidance and assurance to Board on Legal Compliance - Creativity and willingness to embrace change and work in multi-functional teams and build trusting relationships at all levels of local and regional management. - We should have learning agility and drive to make the legal function a strategic player for the company. Should have the drive to take on additional responsibilities. - Excellent communication skills, verbal and written, with a demonstrated ability to communicate to a wide variety of business personnel, including external lawyers. - Good exposure to Commercial Contracts and preferable if experience in Joint Ventures/Merger&amp; Acquisitions&nbsp; Incumbent Profile - Graduate with an excellent academic record and qualified as a lawyer in India. CS &amp; Legal - 15 to 20 years of experience of general corporate work in-house (preferred) or at a law firm. - Some experience (or working knowledge at a minimum) of STPI and labor law and connects outside of India. - Prior experience with IT/ITES industry is a must.
