Company Profile: Our client is a very large, professionally managed, highly profitable manufacturing organization based in Mumbai and having operations nationally. Our clients seek to recruit a dynamic & experienced Legal + Secretarial Professional to head the function. This vacancy has arisen due to Career/Succession planning. The position is based in Central Mumbai and reports to the M.D. Our clients offer excellent salary/perks as per industry norms & commensurate with experience.

Job Profile : The incumbent will Head the Legal, Secretarial & Corporate Governance Functions position involves offering Legal Counsel / Expertise to the HO & the various manufacturing plants and Sales offices of the organisation. Core responsibilities would cover drafting agreements, vetting and preparing various legal documents, addressing issues related to employment and hiring of employees and labour. Will be involved in dealing with day to day corporate / strategic legal advisory, drafting, negotiating high value and complex contracts for Sales / Distribution / Marketing / Supply-Chain, procurement and other services. Also, taking care of the entire Secretarial & Compliance management. Responsible for smooth and speedy functioning of the department. Will lead a team of legal & secretarial professionals

Key responsibilities are providing legal advice on general daily corporate legal matters, transaction structuring and preparation of documentation for business functions.

The position covers:

Drafting, reviewing, negotiating and settling legal and transactional documents & agreements;

Preparing Contracts / Agreements

Preparing Manuals / Policy Documents as may be required.

Coordinate with outside Counsel in case any matters are referred to them.

Assist in Corporate Law, Secretarial, Corporate Governance & Compliance activities. Ensure compliance with applicable laws, regulations as well as adherence to internal group policies and procedures.

Undertake research activities to provide inputs on legal matters.

Develop effective relationship and engagement with internal stakeholders, clients, business associates and other function groups

Candidate Profile : We are looking for a bright individual with a Bachelors or Masters degree in Law from one of the top Law schools in India with 18-30 years experience (age: 40-50) in large (annual turnover exceeding Rs.500 crores) manufacturing organisations. ACS / ICSI qualification would be desirable though not essential. The incumbent will report to the M.D. Must be currently heading the Legal function or Number-2 in the Legal function of a large organisation / group. Must have handled M&As, JVs, Demergers, IPR
