Hiring for Head of Legal and Secretarial for a Asset Management Company ( Mutual Funds). Position based out of Mumbai. Essential Functions : 1. To strategize and guide the members of Regional and India Management team on various legal issues. Advising and timely implementation of various legal procedures. 2. Ensuring that the Companies are in compliance with all applicable acts, rules & regulations, Preparation, maintenance and updating of various Statutory records, Returns and other documents as applicable under Companies Act, SEBI Laws, AMFI Guidelines, and other Statutes and supervising of MIS of various information. Ensuring Issuance of notices/reply to the notices, vetting internal group company agreements, affidavits, letters, Company Resolution, General/specific General Power of Attorney and applications to Government Departments and Regulatory bodies. 3. Supervising and preparation of Notices, Agenda and other back-up papers for convening the Board Meetings, General Meetings and various Committee Meetings, preparation of all relevant documents, and ensuring that the meetings are properly convened for all Group Companies. 4. Liaison with Company Lawyers, auditors and tax advisors for to ensure timely and satisfactory compliance and audit. Ensure that concerned departments are fully aware, prepared and to cooperative in its successful conduct. Ensure a satisfactory rating in achieved in all statutory and internal audit. 5. To handle the legal aspect of the company's various proposed and current M&A activities. Legal due diligence and legal contract management for M&A. 6. Co-ordination with functional heads of specific verticals in terms of negotiating, structuring, drafting, reviewing & finalizing various Agreements, MOUs, Letter of Intents, from time to time. Advice and support on legal matters related to safeguarding of business interests and assets. Requirements : 1. Educational Background - LL.B and Company Secretary. 2. Experience - 12- 18 years of relevant experience in handling corporate law and secretarial matters. Industry and product knowledge preferred. 3. Should possess excellent verbal and written communication skills, eye for details, ability to manage multiple projects, negotiation and relationship skills.
