Role: Head the Legal Function for a Large IT Services company

Location : Mumbai

Roles and Responsibilities

- Overall accountability of the Legal Function at company & reporting to the Global CEO

- Lead a Team of Legal Managers and Executives located across the Geography.

- Interface with Internal Business Leaders on Business Deals, Pre-Sales Proposals, Engagement Contracts, a Variety of Terms of Engagement prevalent across multiple customers in various geographies

- Advice Business Leaders on prevailing Legal environment across multiple Geographies

- Reviewing Contracts / Agreements across Multiple Customers as demanded by Business

- Facilitate drafting and execution of Customer Agreements for all outsourcing deals

- Manage Domestic / International Arbitration and dealing with Legal Cases in Foreign Countries

- Drafting/vetting/settling agreements like SHA, SPA, Technology Transfer/License, Business Purchase, Teaming in large size tender participations, Procurement, MOUs/Term Sheet, Service Contracts,NDAs, POAs, Indemnities, Affidavits and all kinds of routine business / commercial agreements.

- Standardisation of templates of routine contracts. Support Marketing, Procurement and Development / Delivery teams in quick and efficient advice and various kinds of agreements and business arrangements

- Provide advice on Company Law matters in cases related to M&A, Divestments, Demergers, Corporate Re- structuring etc. and providing legal support to the internal team in DD and agreements involved in cross border transactions

- Engagement with Attorneys across different

The candidate :

- Law graduate, preferably from a Premier Law School in India

- Over 18 to 22 years of Experience with a Good Mix of Litigation and Business Contracts and should had Lead the Legal Function in IT / ITES Company

- Good Exposure to Managing teams of Legal Executives and Engagement with Attorneys

- The candidate would be Reporting to the Global CEO of the IT BU.
