Legal Compliances / Legal Documentation / Litigation

- Drafting and vetting of various service-related agreements, Reviewed and Negotiated Share Purchase Agreement, Shareholder Subscription Agreement and Shareholders agreement

- Drafting and vetting of Non-Disclosure agreements, Service Agreements and General/Special Power of Attorney issued in favor of director or employees or counsels

- Drafting, reviewing and reply to a legal notice received to the Company from customers, employees or other parties

- Managing Litigation of the Company including cases at Supreme Court, High Courts, Consumer forums.

- Review of other legal documents to ensure timely and appropriate reply on behalf of the Company to represent our case strongly at quasi-judicial or judicial bodies.

Board Meeting/Committee Meeting/General Meeting

- Planning, organizing and conducting Board Meetings, Committee Meeting(s) and Annual/Extra-Ordinary General Meeting.

- Preparation of Circular Resolutions, Notice, Agenda, Information packs and Minutes of Board Meetings and various other committees.

ESOP/Capital Compliance

- Drafted prepared and implemented the Employee Stock Option Scheme/Policy for the Company.

- Managing and executing compliance related to the offering of securities through Right Issue, Private placement and preferential allotment.

Compliance implementation

- Developed and implemented the mechanism to comply with new commercial law (Company law) applicable to the Company

- Developed and managing in-house cost saving secretarial audit system to monitor and ensure no lapse in the compliance related to The Companies Act, 2013, its rules and the corporate governance regulations.

Liaising and Communication role

- The point of contact for the Board of Directors and shareholders, managing the flow of information between them and the Management.

- Update to Board Members about recent changes to the Companies Act, 2013 and corporate governance guidelines.

- Regularly interacting and maintaining a strong relationship with bank shareholders and their nominees on the Board of the Company resulting in smooth decision making.
