Job Title : Head Legal and Compliance

Job Responsibilities

(A) : Legal :

- Drafting and vetting of MOA, MOU, Bank guarantee, Indemnity Bonds if any, Undertakings and authority letters, vendor contracts, Master Service Agreements, Development and Licensing Agreements, Marketing and Sales Agreements etc.

- 1st Drafting and Vetting of all legal documents and coordination with the panel of lawyers to ensure documents are legally sound.

- Management of all Consultant Contracts.

- Liaison with relevant Government offices and other competent authorities if necessary. Visit to competent Authorities for documentations, follow up and keeping the record of the same.

- Liaison with Legal consultants of the company wherever necessary and ensure all legal related responses/deadlines etc are meet in a timely manner

- Handling of all Court and legal cases of the company which would include preparation of all case drafts, Coordination and Briefing / discussion with the lawyers for legal cases and to negotiate the fees structure of the Advocates, Follow up with Advocates for updating of legal cases, Follow up with concerned officer to attend the court, Attend the meetings /conferences as and when required /directed by superiors

- Setting a system of Legal department monthly MIS, reviewing the MIS data and presenting the MIS data to management every month

- Sitting in techo/legal commercial discussion with management and to assist the management to achieve its commercial objectives in an agreement/arrangement in legal compliance framework

(B) Compliances :

- Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies

- Evaluate the efficiency of controls and improve the compliance network continuously

- Revise procedures, reports etc. periodically to identify hidden risks or non-conformity issues

- Draft, modify and implement company risk management policies

- Collaborate with corporate counsels and HR departments to monitor enforcement of standards and regulations

- Assess the business's future ventures to identify possible compliance risks

- Review the work of colleagues when necessary to identify compliance issues and provide advice or training

- Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance control

- Prepare MIS legal compliance reports for senior management and external regulatory bodies as appropriate

Candidate Profile

- LLB and CS with 15 years experience as Head of Legal Department

- Excellent draft skills with legal flair for various agreements, MOUs, Undertaking, etc

- Proven experience as compliance manager

- In-depth knowledge of the industry's standards and regulations

- Excellent knowledge of reporting procedures (MIS) and record keeping

- Excellent communication skills

- Certified compliance professional is a plus
