Head - Legal & Company Secretary - FMCD (15-20 yrs)

Company: One of the world largest FMCD company.

Role: Head- LEGAL & CS.

MUST HAVE: Experience of 15-18 years and Joint Ventures.

This position will be based in Mumbai and will directly report to the CFO/VP. And will work closely with other members of the Board of Directors. The Strong experience in corporate legal issues and ability to work directly with BODs and Leaders of the Organization with impeccable communication skills is MUST.

Location: Mumbai;

Qualification: Company Secretary or LLB, preferably from a good law institute in India.

Reporting to: BOD and VP/CFO

Reported by: Direct reportees of 2-3 people team

Experience: 15-20 years experience in working with corporate having a multi-national presence handling the below job responsibilities.

Job Responsibilities:

- Providing real-time opinion and advice on corporate law, civil law, labour law and legal issues for co's strategic business unit and business vertical management.

- Providing real-time opinion and advice on Contracts and Contractual Agreements

- Leading and handling corporate legal cases and litigations

- Dealing / Coordinating with / Leading team of lawyers on legal compliance and disputes across PAN India with specific responsibilities as described below;

- Early addressing of disputes with customers, vendors, employees, statutory bodies and third parties across multiple geos for speedy resolution in coordination with business and finance stakeholders.

- Effectively initiating and defending litigation by engaging cost-effective counsel and identifying right opportunities for settlement or successful closure.

- Researching and analyzing documents and case law to ensure the accuracy of advice and procedure.

- Creating and managing robust dispute resolution management portal for online tracking and management reporting.

- Managing a team of in-house counsels handling litigations across all geos.

- Managing external counsel across all geos for cost-effective and timely support in disputes, litigations.

- Providing real-time labour and employment law advice regarding personnel hiring, retention and separation issues to co's (HR), Talent Acquisition teams and to co's strategic business unit and business vertical management;

- Hands-on experience managing employment litigation, negotiations, mediations and arbitrations

- Demonstrable technical excellence across a broad spectrum of civil, corporate & labour law case

- Ability to function as a self-motivated, diligent, effective strategic labour and employment thought leader providing a practical, business-oriented approach to problem solving in a fast-paced, results oriented environment with limited supervision

- Excellent interpersonal and communication skills and the ability to interact with different levels and cultures throughout our multinational organization

- Ability to demonstrate strong negotiation and advocacy skills and hands on experience in negotiations on commercial / Legal clauses in contracts relevant to Civil & Corporate & Labour law

- Leading audits, handling employee-related disputes, reviewing pre-litigation claims, shepherding and tracking all employment litigation, arbitrations & mediations, including (where licensed) representation in civil courts and state agencies;

- Reviewing, drafting and negotiating various employment-related agreements and related legal documents;

- Proactively monitoring and advising on new developments in corporate laws and assessing and advising their impact on the organization, working collaboratively with different internal teams to ensure statutory compliance;

- Developing and improving Corporate law-related compliance processes, policies and guidelines to minimize legal exposure;

- Responding to any statutory audit queries and reviews by regulatory authorities;

- Advising on equal pay claims and overtime law compliance (conducting reviews/audits, handling claims and administrative appeals)

- Advising ontransfer of employment (as a consequence of transfer of undertaking)including review of customer contract clauses, negotiating the same, advising on process of transfer and integration of transferees with minimum risks.

- Responding to customer enquiries and audits related to Corporate law compliance;

- Identifying areas for Corporate law-related HR, employees and management;

- Managing outside Corporate and Labour counsel for cost control and effectiveness;

- Identifying areas of change required in Corporate law and engaging with appropriate external stakeholders in advocating these changes;

- Performing other related duties as required.

- Willingness to travel, as may be required, sometimes frequently

- Ability to collaborate across all levels - business unit heads, peers, subordinates, management team as well as senior global leaders within the Company

- Ability to interact with and influence counsel, law firms, other experts for achieving organizational goals

5. Team Leadership:

- Ability to understands role in a team situation and contribute effectively. Share information and maintain effective working relationships with other team members

- Skill to encourage and acknowledge team work and delivers through people
