Post - Head - Legal & Company Secretary for a multi-crore listed organization

Designation - General Manager/ Associate Vice President

Location Hyderabad

Qualifications

Educational LLB/ LLM graduate and certified Company Secretary

Professional :

- Minimum of 12 to 15 years Post qualification experience in a limited company.

- Having Merger and acquisition experience (companies from European countries) will be preferred

- Responsible for providing strategic legal advice and working with the leadership team to deliver on business objectives.

- The role will also cover compliance responsibilities throughout the organization.

- Will be responsible for ensuring smooth M&A transition from the legal standpoint. Driving adherence to secretarial and statutory compliance of the business

Merger & Acquisition:

- Evaluation of the demands and claims of the target companies

- Assessment of inherent risk and liabilities

- Drafting & negotiation of agreements

Legal:

- Working with multi-functional teams including commercial, sales, HR, finance, procurements, joint ventures, etc and importantly be a business partner, understand business strategy and results.

- Providing legal operational excellence and strategic guidance/support regarding legal risks and implications, etc.

- Reviewing all contracts or any other documentation where the Company has committed itself and assess legal implications and shared with the top management.

- Preparing, reviewing and modify contractual instruments to assist and support various business activities.

- Review progress of outstanding litigation and liaise with and manage external lawyers.

- Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.

- Review and provide legal advice on documents.

- Review ongoing cases and advice management accordingly.

- Provide legal protection and risk management advice to management especially on contract management.

- Provide and interpret legal information.

- Prepare monthly and quarterly reports for the department for executive management meetings.

- Review progress of outstanding litigation and liaise with and manage external lawyers.

Secretarial:

- Schedule, set agenda for and undertake communication for Board Meeting and shareholders meetings.

- Establish strategy for effective monitoring of regulatory and corporate governance activities.

- Compliance of provisions of companies Act, Listing agreements, SEBI Regulation and monitoring & reporting other applicable laws

- Research & discussion on law & regulation affecting the company, including corporate affairs, compliance programs, trademarks, protection, sales, international agreements, important legal documents and agreement and company policies and procedures.
