Head/General Manager - Investor Relations - IT (12-18 yrs)

Investor Relations Framework

a. Create overall investor relations framework for company. Prepare guidelines for collection of data internally; 


b. Guide the team to collect and analyse key metrics

c. Establish and maintain IR disclosure material for periodic external reporting

d. Establish and maintain multiple channels of communications (IR website etc.)

e. Gather data from various industry sources and develop databases of investors (policy and strategy, portfolio information)

f. Analyse and identify investor clusters for engagement; Present market intelligence updates to senior management on a quarterly basis

g. Identify and research analysts suitable for company.

Financial Communication (Planned earnings release etc.)

a. Analyse earnings by quarter and results preview as well as analysts' preview;

b. Conduct divergence analysis and identify key messages and questions;

c. Send summary of key messages, expected questions and preparatory remarks on financial results and organization's strategic direction to CFO, CEO & Strategy head;

d. Plan and create presentations for Annual General Meetings and other retail & institutional investor meetings.

Enhancing Reach, Visibility and Business Comprehension

a. Interact with sector analysts to gather information; Read the sector reports;

b. Conduct meetings and road shows; Regular interaction with Fund Managers, Chief Investment Officers, Industry Analysts and decision makers of both long only and hedge funds;

c. Provide information about company's financials and policies;

d. Schedule meetings to educate & engage with analysts; Pursue interested analysts for subsequent meetings with leadership;

e. Track reports put out by analysts; Track media reports on company; In case of issues, discuss official stand with leadership and communicate message to investors;

f. Participate in client meetings in conjunction with sales teams, where warranted to provide relevant financial information.

Feedback to Senior Management

a. Gather and summarize industry and peer group developments, analyst coverage capturing key analyst messages, concerns and quantitative highlights;

b. Communicate the same to top management; Share feedback from investors with the CFO;

c. Invite strategy head and top management on road shows and seminars as required;

d. Prepare reports and FAQs for senior management; Provide regular reports and updates to the CEO, CFO & Strategy head.

e. Internal Stakeholder management, regular interaction with company Board, present quarterly update to Board on markets and stock performance in Board meeting.

Special Initiatives

a. Drive special initiatives assigned by CFO (e.g. M&A, Program Management etc.);

b. Analyse and evaluate M&A opportunities;

c. Develop project plans in conjunction with functional teams;

d. Report progress and updates to CFO on a periodic basis.

STT Relationship Management

a. Drive the transition of business from company to STT;

b. Single point contact for STT Senior Management;

c. Regular Interactions with Group CEO, CFO and Operating entity CEO, CFO in both India and Singapore;

d. Attend the Board Meetings for India;

e. Track the performance against AOP from a shareholder perspective;

f. Look at all the expansion plans and help identify company properties for future leasing and lead the leasing process end to end;

g. Handle all commercial aspects with STT on behalf of company;

h. Help the real estate team on the leasing process;

i. Maintain business relationship, handle escalations and dispute resolution;

j. Ensure timely payments from STT and help in working capital management;

k. Provide inputs to senior management on capex decisions, equity calls and exit options;

l. Periodic investment management and tracking;

m. Ensure optimal value extraction from the investment.

Special Projects - M&A SPOC from Finance

a. Leading M&A projects from finance side;

b. Project manage financial due diligence, starting from onboarding consultants, bankers, aligning internal teams, setting up VDR;

c. Regular interaction with investment bankers, law firms and Big 4 consultants;

d. SWOT analysis for various consultants, analyse league tables for deals and bankers;

e. Co-ordinate with internal teams and facilitate the due diligence process;

f. Facilitate program management and Governance to track milestones, handle escalations;

g. Identify roadblocks to project implementation and handle the same in conjunction with relevant functional stakeholders;

h. Post deal closure lead the integration in case of an acquisition;

i. Ensure smooth integration with minimal disruptions and help achieve projected synergies;

j. Relationship management with the parent Group;

k. Regular interactions with Group CFO Office (VP Finance and Special Projects).
