HEAD (GM / DGM) LEGAL & CS


- Looking to hire Head of Legal and Company Secretary for a leading chain of hospital.

- Candidate should be LLB & CS with 10 to 12 yrs exp. in corporate law & company secretary and should have managed team and has worked with listed companies.


- Current role should be head of the department or level 2., should have prior experience in a similar role, must have very good working experience.

Secretarial & Legal Roles & Responsibilities:

Secretarial:

- Knowledge of SEBI LODR guidelines

- Organizing and preparing agendas and papers for board meetings, committees and annual general meetings (AGMs). Taking minutes, drafting resolutions, lodging required forms and annual returns with Companies House. Following up on actions from meetings

- Providing support to committees and working parties such as the Board of Directors etc.

- Overseeing policies, making sure they are kept up to date and referred to the appropriate committee for approval

- Transaction structuring


Legal & general compliances:

- Legal Head should be very good working knowledge of general & commercial law.

- Provide overall support & guidance to business & functions on legal and compliance issues and ensure speedy response and resolution to in-house queries/ cases.

- Handling of cases, consumer case notices, NCLT, Recovery, Defamation, attend court & liaison with external counsel.

- Design and oversee the company's policy and position on legal matters.

- Protect the company against legal risks and violations.

- Examine the legal issues related to new products and services and provide solutions / guidance on the same

- Responsible for drafting and negotiating all transactional agreements to ensure that the interest of the Company is protected and legal risks are mitigated

- Lead regulatory and compliance issues to ensure compliance with all regulations. Liaising with authorities for all types of hospital/business licenses

- Provide guidance to team and implement processes or systems to ensure good management of the organization.

- Develop smarter ways to bring in productivity in legal & compliance through standardization automation, etc.

- Good communication skills: Excellent communication skills, both verbally and in writing.

- Time management: there are specific deadlines that need to be met, must be able to prioritize tasks and take responsibility for a professional workload.

- Problem-solving skills: must be able to solve issues and be creative in their thinking.

- Well-organized: During their career, will face many complex issues and tasks, thus, being well-organized and able to work through them methodically is an essential skill.

- You have excellent analytical skills as well as a strong business acumen.
