Designation :- Head Compliance Experience :- 15-25 years Qualifications :- CS & LLB Location :- Mumbai Job Description - Ensuring compliance with all REIT Regulations and Policies framed thereunder - Ensuring compliance with LODR - Ensuring compliance with Companies Act - Handling Board and Annual Meetings for the REIT and its Asset SPVs (8 Companies) - Agendas, Minutes, Conducting meetings - Half Yearly and Annual Reports - Statutory filings, Reportings - Stock exchange intimations and compliances - Interactions with RTA for all REIT Unitholder matters - Managing interactions with SEBI, Stock Exchanges - Compliance with Investment Management Agreement - Interactions with Trustee and ensuring all Trust Deed compliances - Handling Investment Manager compliances, LLP Act and Partnership Deed compliances - Ensuring quarterly distributions - Custodian of Insider Trading Compliances - Unitholder Complaint Management and Reporting - Implement best governance practices - Putting in processes and policies to ensure best in class governance standards - Work with law firms and Practising CS for consultation on specific matters, Opinions - Interface between secretarial team and rest of the organisation for all REIT matters - Interacting with Board Members on various matters - Working on equity fund raises by the REIT (Private and Institutional Placements, Rights, Bonus) - Working on acquisitions by the REIT (Sponsor assets or third-party acquisitions)
