Compliance Officer:

- To ensure the internal and external compliance and adherence of the to the highest standards of integrity

- Building of regulatory framework and organizational governance framework in order to protect the Company from non-compliance and related risks

- Advisory on various regulators advices/ amendments and following the same in true letter and spirit

- Handling all regulatory, statutory and internal audits.

- Work in sync with all departments to ensure the compliance and good governance in the Company.

Secretarial Functions:

- Advisory to the Board of Directors and Senior Management on various provisions of Corporate laws and other applicable provisions

- Formation and conversion of Company

- Meetings, Notices, Minutes, Annual Report

- Filing of e-forms with MCA

- Drafting and Implementation of Secretarial and Compliance Manual and Standard Operating Procedures.

- Handling Secretarial and Statutory Audit of the Company

- Alteration in Memorandum and Articles of Association

- Issuance of Non-Convertible Debentures, ESOPs and related documentation

- Licensing and compliances under various authorities like MCA, NHB, TRAI, etc.

Legal Administration:

- Drafting, vetting and negotiating agreements including Home and Non-Home Loan Agreements, Lease Deeds, Vendor contracts, Advertisement Agreements, Branding Agreements, Memorandum of Understandings, and Non-Disclosure Agreements.

- Drafting and Implementation of Policies

- Documentation regarding Corporate Agency Agreement

- Proceedings under Negotiable Instrument Act & SARFAESI

- Responsible for all company related litigation, mediation and arbitration matters; strategize resolution of disputes and litigation with the objective of minimizing conflicts and settling and procedures for timely reporting and tracking of all litigation.
