SCOPE / DIMENSIONS OF THE JOB:
Listed Company Exposure Mandatory
All Compliances with respect to the Secretarial Function and assist in legal part of the Company. Conducting Board Meeting.
- Assignment specific compliances of the Company and group companies.
- Implementation of Compliance Management Tool in the Company
- Conducting Annual General Meeting, Board Meeting, Audit Committee Meeting and other committee meetings including preparation of Agenda and Minutes.
- To do various compliances relating to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 including quarterly listing compliances i.e. filing of Quarterly Corporate Governance Report, Shareholding Pattern, Reconciliation of Share Capital Audit Report and sending financial results to stock exchanges on quarterly basis.
- Maintaining and complete the Statutory Records i.e. minutes and registers etc. and to file various forms with Registrar of Companies/ Central Government from time to time & to complete the annual filing in respect of the Company and its group companies i.e. filing of Balance Sheet and Annual Return with Registrar of Companies.
- Research work assigned from time to time on various corporate laws, tax laws & other Indian & foreign legislations and various corporate strategies for restructuring, new business proposals etc.
Person Profile:
Min- m Educational Qualification : CS
Experience : 12+ Years of Experience
